Representations of Contractor. To the best of Contractor’s knowledge, Contractor agrees that: a. Contractor has no obligations, legal or otherwise, inconsistent with the terms of the Agreement or with Contractor’s undertaking of the relationship with the City; b. Performance of the services called for by the Agreement do not and will not violate any applicable law, rule, regulation, or any proprietary or other right of any third party; c. Contractor will not use in the performance of Contractor’s responsibilities under the Agreement any proprietary information or trade secret of a former employer of its employees (other than City, if applicable); and d. Contractor has not entered into and will not enter into any agreement, whether oral or written, in conflict with the Agreement.

Representations of Contractor. CONTRACTOR represents and warrants to and for the benefit of the Bureau, with the intent that the Bureau shall rely thereon for purposes of entering into this Contract, as follows:
Representations of Contractor. Contractor represents and warrants that: (i) it has read all of the terms and conditions of this contract; (i.e. all contract documents); (ii) it has physically inspected the job site and is aware of all of the conditions and limitations of the site that might effect the work contemplated by this agreement; (iii) it is aware of the equipment needed to perform the work based upon the type and character of the facilities at the job site; and (iv) it is not relying upon any representation or opinions of Owner that are not otherwise contained in this Contract. Based upon these representations and warranties, Contractor shall fully perform every detail of the requirements of the Contract and Contractor assumes full risk of any difficulties that it might occur in performing the work. Contractor's failure of performance will not be excused on the basis of ignorance of job site conditions or limitations which give rise to difficulties in doing the work; nor will it be the basis for extension of time to complete work. Contractor warrants that all materials used in the construction of the Project shall be new or repaired as indicated and all workmanship and materials used in the construction of the Project shall be of good quality, free from faults and defects and, in conformity with the Contract documents unless otherwise specified in the Contract. All Work not conforming to these standards shall be considered defective.
Representations of Contractor. The Contractor represents and warrants: A. That he is financially solvent and that he is experienced in and competent to perform the type of work involved under this Contract and able to furnish the plan, materials, supplies and/or equipment to be furnished for the work; and B. That he is familiar with all Federal, State and Municipal Laws, ordinances and regulations which may in any way affect the work of those employed hereunder, including but not limited to any special acts relating to the work; and C. That such work required by these contract documents as is to be done by him can be satisfactorily constructed and used for the purpose for which it is intended and that such construction will not injure any person or damage any property; and D. That he has carefully examined the Plans, Specifications, and the site of the work, and that from his own investigation he has satisfied himself as to the nature and location of the work, the character, location, quality and quantity of surface and subsurface materials, structures and utilities likely to be encountered, the character of equipment, and other facilities needed for the performance of the work, the general local conditions which may in any way affect the work or its performance.
Representations of Contractor. In order to induce City to enter into this Contract, Contractor makes the following representations to City: A. Contractor has familiarized itself with the nature and extent of the Contract Documents, Work, and with all local conditions and federal, state and local laws. B. Contractor has made, or caused to be made, examinations and investigations of information as it deems necessary for the performance of Work at the Contract Price, within the Contract Time and in accordance with the other terms and conditions of the Contract Documents; and no additional examinations, investigations or similar data are, or will be required by Contractor for such purposes. C. Contractor has given City advanced written notice of all conflicts, errors, or discrepancies that it has discovered in the Contract Documents prior to bidding and the written resolution thereof by City is acceptable to Contractor. D. Contractor is skilled and experienced to responsibly perform the type of Work described in the Contract Documents in a timely manner.

Representations of Contractor. Contractor represents and warrants that: a. it is duly organized and in good standing in the jurisdiction of its organization and, if not organized in the Commonwealth, is licensed to do business as a foreign corporation in the Commonwealth; b. it has the power, authority and legal right to enter into and perform this Agreement and Contractor’s execution and delivery of, and its performance under, this Agreement will not violate Contractor’s organizational documents or any judgment, order, law or regulation; c. no consent, permission or approval is required for the valid execution and delivery by Contractor of this Agreement or for Contractor’s performance hereunder, except those that have been obtained; and d. this Agreement has been duly authorized, executed and delivered by Contractor and constitutes a legal, valid and binding obligation of Contractor, enforceable in accordance with its terms, except to the extent limited by bankruptcy or similar laws or by general equitable principles concerning remedies. e. Contractor is not subject to backup withholding because Contractor is exempt from backup withholding, Contractor has not been notified by the Internal Revenue Service (IRS) that Contractor is subject to backup withholding, or the IRS has notified Contractor that Contractor is no longer subject to backup withholding.

Contractor represents that it is empowered and authorized to execute, deliver, and perform its obligations under this Agreement, and, upon such execution and delivery of this Agreement, this Agreement shall be a valid, binding, and legal obligation of the Contractor, enforceable in accordance with its terms and duly authorized by a vote of its Board of Directors in compliance with its certificate of incorporation and bylaws and all applicable laws of the Commonwealth of Massachusetts.
