Representations to Survive. The agreements, representations, -------------------------- warranties and other statements set forth in or made pursuant to this Agreement will remain in full force and effect, to the extent permitted by applicable law, regardless of any investigation made by or on behalf of us or any Authorized Dealer. The provisions of Section six and nine of this Agreement shall survive the offer and sale of the Shares and the termination or cancellation of this Agreement, to the extent permitted by applicable law.
Representations to Survive. The respective agreements, representations, warranties and other statements of Verizon or its officers and of the Investment Entity or its officers and the agreements of SpinCo, in each case set forth in or made pursuant to this Agreement, shall remain in full force and effect, regardless of any investigation made by or on behalf of the Investment Entity, Verizon, SpinCo or any of their respective officers, and shall survive the Closing.
Representations to Survive. The provisions of Sections IV (2), IV (3), V and VII of this Agreement shall survive the offer and sale of the Certificates, to the extent permitted by law, and the termination and cancellation of this agreement.
Representations to Survive. The respective agreements, representations, warranties and other statements by M&I Bank, Northwoods, Bank One and the Purchaser set forth in or made pursuant to this Agreement shall remain in full force and effect and will survive the Closing Date and each Funding Date and any sale, transfer or assignment of the Receivables by the Purchaser.

The respective agreements, representations, warranties and other statements of Lucent or its officers and of Investment Bank or its officers set forth in or made pursuant to this Agreement will remain in full force and effect, regardless of any investigation made by or on behalf of Investment Bank, Lucent or any of their respective officers and will survive the exchange of the Debt Obligations for the Shares.

The agreements, representations, warrantees and other statements set forth in or made pursuant to this Agreement will remain in full force and effect, to the extent permitted by applicable law, regardless of any investigation made by or on behalf of us or any Authorized Dealer. The provisions of Section six and nine of this Agreement shall survive the offer and sale of the Shares and the termination or cancellation of this Agreement, to the extent permitted by applicable law.

The respective agreements, representations, warranties and other statements by the Transferor and the Purchaser set forth in or made pursuant to this Agreement shall remain in full force and effect and will survive the Closing Date and any sale, transfer or assignment of the Receivables by the Purchaser.
Representations to Survive. Delivery. -------- All representations and warranties contained herein or in certificates delivered pursuant hereto and all covenants and agreements herein not fully performed before delivery of the Securities to the Underwriters shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter or any controlling person, or by or on behalf of the Offerors, and shall survive delivery of the Securities to the Underwriters.
Representations to Survive. The agreements, representations, warranties and other statements set forth in or made pursuant to this Agreement will remain in full force and effect, to the extent permitted by applicable law, regardless of any investigation made by or on behalf of us or any Authorized Dealer. The provisions of Sections 1(d), 1(f), 1(g), 2(b), 3(a)(i)-(ii), 3(b), 4, 5, 6 and 8 of this Agreement shall survive the offer and sale of the Class A Shares of the Fund, to the extent permitted by applicable law, and the termination or cancellation of this Agreement.
Representations to Survive. Unless otherwise provided, all of the representations contained in this agreement and in any certificate, exhibit or other document delivered pursuant to this agreement shall survive the Closing for a period of two years. No investigation made by either party hereto or their representatives shall constitute a waiver of any representation, and no such representation shall be merged into the Closing.
