Representations, Warranties, and Agreements of the Landlord. The Landlord hereby represents, warrants, and agrees as follows: (a) The Landlord is organized and in good standing under the laws of the State of Delaware, is duly authorized to transact business in the State, has power to enter into this Fee Agreement, and has duly authorized the execution and delivery of this Fee Agreement. (b) The execution and delivery of this Fee Agreement by the County has been instrumental in inducing the Landlord to locate the Project in the County. (c) The Landlord, together with the Tenant and any Sponsor Affiliates, will use commercially reasonable efforts to meet, or cause to be met the Contract Minimum Investment Requirement within the Investment Period.
