- REPRESENTATIONS, WARRANTIES AND GUARANTEES OF THE SELLER. Seller represents, warrants and guarantees to Buyer that each of the representations and warranties contained in this Agreement is true as of the date of execution of this Agreement and will be true as of the Effective Date.

- REPRESENTATIONS, WARRANTIES AND GUARANTEES OF THE SELLER. The Seller hereby represents, warrants and undertakes that the statements and declarations set out in this Article 5 (the "WARRANTIES") are complete and correct in all respects as of the date of the Agreement and the Transfer Date, except as provided otherwise in the Agreement. The Seller acknowledges that the Purchaser is entering into the Agreement in reliance on each of the Warranties with the intention of inducing the Purchaser to enter into the Agreement. No knowledge of the Purchaser relating to the Companies (actual, constructive or imputed) prevents or limits a claim made by the Purchaser for breach of any of the Warranties and the Seller may not invoke any such knowledge of the Purchaser as a defence to a claim for breach of any of the Warranties. Each of the Warranties is to be constructed independently and is not limited by another provision of the Agreement or any of the other Warranties. 11 5.1
