Common use of Required Clearances Clause in Contracts

Required Clearances. (i) Any applicable waiting period (or extension thereof) relating to the Merger under the HSR Act has expired or been earlier terminated, (ii) any applicable clearance or affirmative approval by SAMR has been obtained and any mandatory waiting period related thereto has expired, and (iii) any waiting period, clearance or affirmative approval of any other Specified Antitrust Authority has been obtained and any mandatory waiting period related thereto has expired; and

Required Clearances. (i) Any applicable waiting period (or extension thereof) relating to the Merger under the HSR Act has expired or been earlier terminated, terminated and (ii) any applicable clearance or affirmative approval by SAMR has been obtained and any mandatory waiting period related thereto has expired, and (iii) any waiting period, clearance clearance, waiver or affirmative approval of any other Specified Antitrust a Governmental Authority in a jurisdiction set forth on Section 7.1(c) of the Company Disclosure Letter has been obtained and shall remain in effect and any mandatory waiting period related thereto has expired; and

(i) Any applicable waiting period (or extension thereof) relating to the Merger under the HSR Act has will have expired or been earlier terminated, terminated and (ii) any applicable clearance or affirmative approval by SAMR has been obtained and any mandatory waiting period related thereto has expired, and (iii) any waiting period, clearance clearance, waiver or affirmative approval of any other Specified Antitrust a Governmental Authority has set forth on Section 7.1(c) of the Company Disclosure Letter will have been obtained and remain in effect and any mandatory waiting period related thereto has will have expired; and
