Common use of Required Sublicensing Clause in Contracts

Required Sublicensing. If Licensee is unable or unwilling to serve or develop a potential market or market territory for which there is a company willing to be a Permitted Sublicensee, Licensee will, at CSMC’s request, negotiate in good faith a sublicense with any such Permitted Sublicensee containing such terms as are standard for sublicense agreements in the biopharmaceutical industry.

Required Sublicensing. If Licensee is unable or unwilling to serve or develop a potential market or market territory for which there is a company willing to be a Permitted Sublicensee, Licensee will, at CSMC’s requestrequest (on behalf of Licensors), negotiate in good faith a sublicense with any such Permitted Sublicensee containing such terms as are standard for sublicense sub license agreements in the biopharmaceutical industry.

Required Sublicensing. If Licensee is unable or unwilling to serve or develop a potential market or market territory for which there is no then-current Permitted Sublicensee and there is a company willing to be a Permitted Sublicensee, Licensee will, at CSMC’s request, use commercially reasonable efforts to negotiate in good faith a sublicense with any such potential Permitted Sublicensee containing such terms as are standard for sublicense agreements in the biopharmaceutical industrySublicensee.
