Required Tender. The Shareholders and the Companies shall have ---------------- tendered or caused the tender of the items set forth in Section 3.2 (b).
Required Tender. (a) In order for a Team to retain its exclusive rights to a player pursuant to Section 1 above, such Team must, on or before October 15, or such other date agreed to by Class Counsel and the AFL, tender to that player a one-year contract that, at a minimum, offers his Regular Season Salary and all bonus provisions for the prior season. The tender must remain open until the first day of training camp. If such Required Tender is not made or is withdrawn prior to the first day of training camp, the player will promptly be waived. (b) Any Team claiming a player waived under the terms of this Section 2 must promptly tender the player a contract that conforms with the rules set forth above in subsection (a). (c) If a player does not accept a tender by the first day of training camp, the tendering Team may withdraw the tender and place the player on its Refused to Report List. After the first day of training camp, a player who was placed on the Refused to Report List, who subsequently reports to the tendering Team, must be tendered a contract for at least the Minimum Regular Season Salary, as provided herein, by that Team or the player will promptly be waived. Notwithstanding the foregoing, a Team and a player may agree at any time upon an AFL Player Contract in any amount above the Required Tender, so long as the Team has sufficient Salary Cap Room to do so. (d) If any player waived under the terms of this Section 2 clears waivers, he becomes a Free Agent.

  • Inspection; Acceptance The Contractor (immixTechnology, Inc.) can only, and shall only tender for acceptance those items that substantially conform to the software manufacturer’s (“Qualtrics”) published specifications. Therefore, items delivered shall be considered accepted upon delivery. The Government reserves the right to inspect or test any supplies or services that have been delivered. The Government may require repair or replacement of nonconforming supplies or re-performance of nonconforming services at no increase in contract price. If repair/replacement or re-performance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services.   • Delivery Conditions (a) The Delivery Conditions are as follows: (i) At Seller’s expense, Seller shall have secured all Governmental and grid operations approvals as are necessary for the safe and lawful operation and maintenance of the Project and to enable Seller to deliver Distribution Services at the Initial Contract Capacity to Buyer. (ii) Seller shall have posted collateral as required by Section 10.4(a)(ii). (iii) Seller shall have submitted for Buyer’s review a Project Safety Plan incorporating the elements described in Appendix XII, which must demonstrate Seller’s ability to comply with the Safety Requirements on the IDD and for the Delivery Term. (iv) Seller shall have delivered to Buyer the Safety Attestation in accordance with Section 2(a) of Appendix XIV. (v) As of the IDD, no Seller’s Event of Default shall have occurred and remain uncured. (vi) At Seller’s expense, Seller or Contractor shall have constructed or caused to be constructed the Project as of the IDD and submitted the Certification for Commercial Operation in Appendix VII-A to enable (A) Seller to satisfy the obligations of the Seller herein and (B) the Project to deliver Distribution Services at the Contract Capacity to Buyer. (vii) At Seller’s expense, Seller shall have installed any necessary metering to deliver the applicable Distribution Services in accordance with Section 4.1 and any applicable tariffs of the Utility Distribution Company. (viii) Seller shall have met each Critical Milestone set forth in Appendix VI pursuant to Section 2.3.
