Required Use and Compliance. (a) Promotional Materials and all packaging, labeling and package inserts for Products in the Collaboration Scope will display the Amgen Housemarks and the BeiGene Housemarks in equal prominence to the extent allowed by Applicable Law and in accordance with the Commercialization Plan. Once approved by the Regulatory Authority, Amgen will as soon as practicable label Product with BeiGene and Amgen logos displayed of equal size with the BeiGene logo positioned on the left or top.
Required Use and Compliance. 9.11.2.1. Promotional Materials for Ivory in the Collaboration Scope will display the Amgen Housemarks and the GSK Housemarks to the extent allowed by Applicable Law and in accordance with the Brand Plan. Except for the use of the Amgen Housemarks and the GSK Housemarks as may be expressly set forth in the Brand Plan, each Party will promote Ivory in the Collaboration Scope only under the Product Trademarks.

Promotional Materials and all packaging and package inserts for Products in the Collaboration Scope will display the Amgen Housemarks and the Partner Housemarks to the extent allowed by Applicable Law and in accordance with the Brand Plan. Except for the use of the Amgen Housemarks and the Partner Housemarks as may be expressly set forth in the Brand Plan, each Party will promote Products in the Collaboration Scope only under the Product Trademarks.
Required Use and Compliance. Each party shall promote the NOVAVAX Products only under the NOVAVAX Trademarks. KING shall not use any trademark or servicemark other than the NOVAVAX Trademarks in promoting the NOVAVAX Products without the prior approval of NOVAVAX. Each party shall promote the KING Products only under the KING Trademarks. NOVAVAX shall not use any trademark or servicemark other than the KING Trademarks in promoting the KING Products without the prior approval of KING. The NOVAVAX Trademarks and KING Trademarks are set forth on Exhibit 2.3(a).
Required Use and Compliance. (i) Except for the use of the Endo Trademarks and Endo Copyright in labeling, package inserts, Product monographs, packaging for Products, and Marketing Materials, each party shall promote the Product only under the Product Trademarks. To avoid any doubt, the Vernalis Specialty Sales Personnel are permitted to use business cards indicating their association with Vernalis and bearing any trademark or tradename of Vernalis and are permitted in their Product promotion to refer to their association with Vernalis.
Required Use and Compliance. NOVAVAX hereby grants to KING a license to use the NOVAVAX Trademarks, which are set forth in Exhibit 2.3(a), for the duration of this Agreement solely for advertising, displaying, marketing, promoting, using, offering-for-sale, selling, distributing, importing and/or exporting the Products in accordance with this Agreement. KING shall promote the Products only under the NOVAVAX Trademarks. KING shall not use any trademark or servicemark other than the NOVAVAX Trademarks in promoting the Products without the prior written approval of NOVAVAX. In connection with the subject matter hereof, KING shall use the NOVAVAX Trademarks only in a manner consistent with NOVAVAX's trademark usage guidelines (the "NOVAVAX Guidelines") and shall not use any NOVAVAX Trademark in connection with any goods or products other than the Products, notwithstanding that such goods or products are dissimilar to the Products or have a different use. The parties shall develop the NOVAVAX Guidelines as soon as practicable after the Effective Date. KING shall use the NOVAVAX Trademarks only to the extent authorized herein. NOVAVAX shall not use, nor permit any third party to use, the NOVAVAX Primary Brand Trademarks or other NOVAVAX Trademarks used exclusively with respect to the Products in the Territory during the Term of this Agreement.

Each Party will not and will cause its Affiliates to not use Product Trademarks or the other Party’s House Marks in a way that might materially prejudice their distinctiveness or validity or the goodwill of the other Party therein. Each Party will not and will cause its Affiliates not to use any trademarks or trade names so resembling any of the Product Trademarks as to be likely to cause confusion or deception. Each Party will and will cause its Affiliates (a) to include, where possible, the trademark registration symbol ® or ™, as appropriate, in connection with the use of any Product Trademark or (as requested) the other Party’s House Marks; and (b) not to use any Trademarks or trade names so resembling any of the other Party’s House Marks as to be likely to cause confusion or deception.

(i) Except for the use of the Ligand Trademarks in labeling, package inserts, Product monographs and packaging for Products, and the Ligand Trademarks and the Co-Promotion Trademarks in Marketing Materials, each party shall promote the Product only under the Product Trademarks. Each party shall ensure that each use by it of the Product Trademarks is accompanied by an acknowledgement that the Product Trademarks are owned by Ligand. Neither party shall (A) use the Product Trademarks in a way that might materially prejudice their distinctiveness or validity or the goodwill of Ligand therein, or (B) use any trademarks or tradenames so resembling any of the Product Trademarks as to be likely to cause confusion or deception.
