Requirements for Additional Compensation. If a Change in Control occurs and the Executive’s employment is terminated for any reason, at any time by the Company without Cause pursuant to Section 7(d) above, or by the Executive if prior to the end of the 60-day period beginning on the date of the Change in Control, the Company shall provide the Executive with the additional compensation and benefits described in this Section 24.

If Subject to Section 24(b), if a Change in Control occurs and (i) the Executive’s employment is thereafter terminated for any reason, at any time by the Company without Cause pursuant to Section 7(d) above, or by (ii) the Executive if prior to voluntarily resigns his employment during the end of the 60-day period beginning commencing on the date of the such Change in ControlControl and ending on the sixtieth (60th) day following the date of such Change in Control (the “Cessation Date”), the Company shall provide the Executive with the additional compensation and benefits described in this Section 2423.

If a Change in Control occurs and either: (A) the Executive’s employment is terminated for any reason, at any time by the Company without Cause pursuant to Section 7(d) aboveabove prior to the end of the 12-month period beginning on the date of the Change in Control, or by (B) the Executive if Voluntarily Resigns his employment prior to the end of the 60-day period beginning on the date of the Change in Control, the Company shall provide the Executive with the additional compensation and benefits described in this Section 2423.

If Subject to Section 24(b), if a Change in Control occurs and the Executive’s employment is terminated for any reason, at any time thereafter by the Company without Cause pursuant to Section 7(d) above, or by the Executive if prior to during the end of the 60-day period beginning commencing on the date of the such Change in ControlControl and ending on the sixtieth (60th) day following the date of such Change in Control (the “Cessation Date”), the Company shall provide the Executive with the additional compensation and benefits described in this Section 2423.
