Common use of Requirements Term Clause in Contracts

Requirements Term. For each Contract Year transpiring during the Requirements Term, Seller shall supply, and each Purchaser shall accept and pay for, Coke Tonnage in accordance with each Purchasers’ Requirements. Purchasers shall notify Seller, collectively in Writing, of each Purchasers’ Requirements on an annual basis, and at least one hundred eighty (180) calendar days prior to the commencement of the applicable Contract Year. Following such Written notification, Purchasers’ Requirements for that Contract Year shall be fixed. Provided, however, if Purchasers fail to deliver such Written notice to Seller on a timely basis, then it shall be presumed that Purchasers’ Requirements is five hundred fifty thousand (550,000) Tons of Coke.
