Resale Services. 1. Performance Category 5 - Resale Services Ordering and Provisioning:
Resale Services. TCG will use reasonable efforts to obtain, monitor and provide Resale Services requested by Reseller. TCG shall use reasonable efforts to obtain a sufficient quantity of telephone numbers to meet Reseller's requirements, subject to availability and payment by Reseller. Should Reseller request that TCG reserve additional numbers for future requirements, Reseller shall pay associated reservation charges imposed by TCG until and including such time as those numbers are in actual use which shall be no higher on a pro rated basis than those charges imposed by the Resale Service provider. For DID trunking, Reseller shall pay the associated reservation charges imposed by TCG throughout the term of this Agreement which shall be no higher on a pro rated basis than those charges imposed by the Resale Service provider.
Resale Services. StarMedia shall have a right of first negotiation to become the provider of any MAP Services that the Company or its Affiliates distributes for resale in the Territory in connection with the sale of wholesale airtime to a reseller operating under the reseller's own brand.

Resale Services. 3.1.1 AT&T-21STATE will provide CLEC with Resale Services in accordance with section 251(c)(4) of the Act and in accordance with the specific terms and conditions described in this Agreement, any Resale Tariff, any Resale Notification and any appendix or attachment referenced herein, to the extent required by Applicable Law. AT&T-21STATE shall make the Resale Services available to CLEC on terms and conditions that are reasonable and nondiscriminatory in accordance with section 251(c)(4)(B) of the Act and Applicable Law.

Resale Services. Vodavi will make available to Aztec various products, as covered in the service Agreement dated August 28, 1998 that have been removed from Vodavi's inventory. Aztec will sell these products through its market channels and the proceeds from this sale will be divided between Aztec and Vodavi at a rate that is mutually agreed upon. Vodavi will advise Aztec the products that are authorized for resale, and Aztec will only resell those products that are authorized.

Parents and guardians must assume a responsibility for maintaining this partnership by supporting the school in the provision of education to their children within the scope of School's registration and furthering the spiritual and academic life of their children.

  • Acquisition Services (i) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (ii) Subject to Section 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the Company; (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; and (e) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iii) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (iv) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (v) Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the Company; (vi) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s investments; and (vii) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted Investments.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.

  • Surgery Services This plan covers surgery services to treat a disease or injury when: • the operation is not experimental or investigational, or cosmetic in nature; • the operation is being performed at the appropriate place of service; and • the physician is licensed to perform the surgery. This plan covers reconstructive surgery and procedures when the services are performed to relieve pain, or to correct or improve bodily function that is impaired as a result of: • a birth defect; • an accidental injury; • a disease; or • a previous covered surgical procedure. Functional indications for surgical correction do not include psychological, psychiatric or emotional reasons. This plan covers the procedures listed below to treat functional impairments. • abdominal wall surgery including panniculectomy (other than an abdominoplasty); • blepharoplasty and ptosis repair; • gastric bypass or gastric banding; • nasal reconstruction and septorhinoplasty; • orthognathic surgery including mandibular and maxillary osteotomy; • reduction mammoplasty; • removal of breast implants; • removal or treatment of proliferative vascular lesions and hemangiomas; • treatment of varicose veins; or • gynecomastia.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Educational Services Any service or supply for education, training or retraining services or testing including: special education, remedial education; cognitive remediation; wilderness/outdoor treatment, therapy or adventure programs (whether or not the program is part of a Residential Treatment facility or otherwise licensed institution); job training or job hardening programs; educational services and schooling or any such related or similar program including therapeutic programs within a school setting.

  • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing. By signing this Contract, you agree to accept your residence assignment, and understand this assignment may change. Once you receive a key to your assigned residence or move personal belongings into your room (whichever comes first) you are considered to have taken occupancy (“Occupancy”) and will incur charges. You also agree to familiarize yourself and comply with all University policies governing occupancy, including those set forth in this Contract and in the UHDS publication Student Policy and Information Guide, to be considerate of other residents and to respect the rights of others at all times. The Student Policy and Information Guide may be found at: xxxx://xxxx.xxxx/policy-guide, as well as in paper form when requested at the University Housing & Dining Services Administrative Offices.

  • Transitional Services Upon cancellation, termination, or expiration of the Contract for any reason, the Contractor shall provide reasonable cooperation, assistance and Services, and shall assist the Department to facilitate the orderly transition of the work under the Contract to the Department and/or to an alternative contractor selected for the transition upon written notice to the Contractor at least thirty (30) business days prior to termination or cancellation, and subject to the terms and conditions set forth in the Contract.
