Common use of Reseller Orders Clause in Contracts

Reseller Orders. If Customer orders any Solution f rom an authorized reseller pursuant to an Order between Customer and the authorized reseller: (a) all references to an Order in this Agreement shall mean the applicable Order between Customer and the authorized reseller; (b) Section 5 (Payment Obligations) is superseded by the terms set forth in the applicable Order between Customer and the authorized reseller, and fees set forth in the Order shall paid directly to the authorized reseller; and (c) Customer shall look exclusively to the authorized reseller for any credits and refunds. Notwithstanding anything to the contrary, no additional terms in any Order between Customer and an authorized reseller shall be binding on Forward Networks, and , as between Forward Networks and Customer, this Agreement shall prevail in the event of any conflict between this Agreement and any Order between Customer and an authorized reseller.
