Common use of Reserve Data Clause in Contracts

Reserve Data. (i) (A) The oil and natural gas reserve estimates of the Company and its subsidiaries as of June 30, 2012 and as of December 31, 2011, 2010 and 2009 contained or incorporated by reference in the Registration Statement, the Time of Sale Information and the Prospectus are derived from reports that have been prepared by, or have been audited by, XxXxxxxx & XxxXxxxxxxx, as set forth and to the extent indicated therein, and (B) such estimates fairly reflect the oil and natural gas reserves of the Company and its subsidiaries, as applicable, at the dates indicated therein and are in accordance, in all material respects, with Commission guidelines for each applicable period applied on a consistent basis throughout the periods involved. (rr) Independent Petroleum Engineers. XxXxxxxx & XxxXxxxxxxx has represented to the Company that they are, and the Company believes them to be, independent petroleum engineers with respect to the Company and its subsidiaries and for the periods set forth in the Registration Statement, the Time of Sale Information and the Prospectus.
