Common use of Reserve Data Clause in Contracts

Reserve Data. (i) The oil and natural gas reserve estimates of the Company and its subsidiary as of December 31, 2005, 2006, 2007, 2008 and 2009 contained and incorporated by reference in the Offering Memorandum are derived from reports that have been prepared by, or have been audited by, ▇▇▇▇▇ ▇▇▇▇▇ Company, LP, as set forth and to the extent indicated therein, and (ii) such estimates fairly reflect the oil and natural gas reserves of the Company and its subsidiary, as applicable, at the dates indicated therein and are in accordance, in all material respects, with Commission guidelines applied on a consistent basis throughout the periods involved.

(i) The oil and natural gas reserve estimates of the Company and its subsidiary subsidiaries as of December 31, 20052012, 2006, 2007, 2008 2013 and 2009 2014 contained and or incorporated by reference in the Preliminary Offering Memorandum, the Time of Sale Information and the Offering Memorandum are derived from reports that have been prepared by, or have been audited by, by ▇▇▇▇▇▇▇▇ and ▇▇▇▇▇ Company, LP, as set forth ▇▇▇▇▇▇▇; and to the extent indicated therein, and (ii) such estimates fairly reflect reflect, in all material respects, the oil and natural gas reserves of the Company and its subsidiary, as applicablesubsidiaries, at the dates indicated therein and are in accordance, in all material respects, with Commission rules and guidelines that are currently in effect for oil and gas producing companies applied on a consistent basis throughout the periods involvedcovered.

(“▇▇▇▇▇▇ Company, LPand ▇▇▇▇▇”), as set forth and to the extent indicated therein, and (ii) such estimates fairly reflect reflect, in all material respects, the oil and natural gas reserves of the Company and its subsidiarysubsidiaries, as applicable, at the dates indicated therein and are in accordance, in all material respects, with Commission guidelines applied on a consistent basis throughout the periods involved.
