Common use of Reserve Data Clause in Contracts

Reserve Data. (i) The oil and natural gas reserve estimates of the Company and its subsidiaries as of December 31, 2004, 2005 and 2006 contained in the Registration Statement, the Time of Sale Information and the Prospectus are derived from reports that have been prepared by, or have been audited by, either (a) Netherland, Sxxxxx & Associates, Inc. or (b) Cxxxxx, Gxxxxxxxx & Associates, Inc., as set forth and to the extent indicated therein, and such estimates fairly reflect the oil and natural gas reserves of the Company and its subsidiaries, as applicable, at the dates indicated therein and are in accordance, in all material respects, with Commission guidelines applied on a consistent basis throughout the periods involved; and (ii) The oil and natural gas reserve estimates of the Chase Group Properties as of December 31, 2003, 2004 and 2005 contained in the Registration Statement, the Time of Sale Information and the Prospectus are derived from reports that have been prepared by, or have been audited by Cxxxxx, Gxxxxxxxx & Associates, Inc., as set forth therein, and such estimates fairly reflect the oil and natural gas reserves of the Chase Group Properties, at the dates indicated therein and are in accordance, in all material respects, with Commission guidelines applied on a consistent basis throughout the periods involved. (oo) Independent Petroleum Engineers. Each of Netherland, Sxxxxx & Associates, Inc. and Cxxxxx, Gxxxxxxxx & Associates, Inc. have represented to the Company that they are, and the Company believes them to be, independent petroleum engineers with respect to the Company and its subsidiaries and for the periods set forth in the Registration Statement, the Time of Sale Information and the Prospectus.

The oil and natural gas reserve estimates of the Chase Group Properties Marbob Energy Corporation and its affiliate interests as of December 31, 20032006, 2004 2007, 2008 and 2005 contained in the Registration Statement, the Time of Sale Information and the Prospectus 2009 are derived from reports that have been prepared byby Xxxxxx, or have been audited by Cxxxxx, Gxxxxxxxx Xxxxxxxxx & Associates, Inc., Inc. as set forth and to the extent indicated therein, and such estimates fairly reflect reflect, in all material respects, the oil and natural gas reserves of the Chase Group Properties, Marbob Energy Corporation and its affiliate interests at the dates indicated therein and are in accordance, in all material respects, with Commission guidelines applied on a consistent basis throughout the periods involved. (oopp) Independent Petroleum Engineers. Each of Netherland, Sxxxxx Xxxxxx & Associates, Inc. and CxxxxxXxxxxx, Gxxxxxxxx Xxxxxxxxx & Associates, Inc. have represented to the Company that they are, and the Company believes them to be, independent petroleum engineers with respect to the Company and its subsidiaries and for the periods set forth in the Registration Statement, the Time of Sale Information and the Prospectus.

(oopp) Independent Petroleum Engineers.
