Common use of Resignation and Cooperation Clause in Contracts

Resignation and Cooperation. Upon termination of Executive’s employment for any reason, Executive shall be deemed to have resigned from all offices and directorships then held with the Company, and any of its affiliates, as of Executive’s last day of employment and Executive agrees that he will timely take any action requested by the Company to confirm any such resignations. Following any termination of employment, Executive shall cooperate with the Company in the winding up of pending work on behalf of the Company and the orderly transfer of work to other employees. Executive shall also cooperate with the Company in the defense of any action brought by any third party against the Company that relates to Executive’s employment by the Company.

At the request of the Board of Directors of each of the Company and Research Solutions, and any of its affiliates, as upon termination of Executive’s last day of employment and Executive agrees that he will timely take for any action requested by reason, executive shall resign from all directorships with the Company to confirm any such resignationsand Research Solutions. Following any ​ termination of employment, Executive shall cooperate with the Company in the winding up of pending work on behalf of the Company and the orderly transfer of work to other employees. Executive shall also cooperate with the Company in the defense of any action brought by any third party against the Company that relates to Executive’s employment by the Company.
