Common use of Resignation and Cooperation Clause in Contracts

Resignation and Cooperation. Upon termination of the Employee's employment for any reason, the Employee will be deemed to have resigned from all offices, if any, then held with any one or more of the Group Companies. Following any termination of the Employee's employment, the Employee shall cooperate with the Group Companies in the winding up of pending work on behalf of any of the Group Companies and the orderly transfer of work to other employees. The Employee shall also reasonably cooperate with the Group Companies in the defense of any action brought by any third party against any of the Group Companies that relates to his employment with the Company or any of the Group Companies, and the Company shall promptly reimburse the Employee for any costs incurred in connection therein.
