Common use of Resignation as Director Clause in Contracts

Resignation as Director. (a) If Your employment ends You must resign as a director of the Company and any Group company unless the Board determines otherwise. (b) If You fail to resign as a director You irrevocably appoint the Company Secretary (or any other person nominated by the Company) as attorney to sign a resignation as director or other officer on Your behalf and have no entitlement to any compensation for loss of office.

Resignation as Director. (a) If Your Employee is a director of the Company and his employment ends You must is terminated for any reason other than death, the Employee shall, if requested by the Company, immediately resign as a director of the Company and Company. If such resignation is not received when so requested, the Employee shall forfeit any Group company unless the Board determines otherwiseright to receive any payments pursuant to this Agreement. (b) If You fail to resign as a director You irrevocably appoint the Company Secretary (or any other person nominated by the Company) as attorney to sign a resignation as director or other officer on Your behalf and have no entitlement to any compensation for loss of office.
