Common use of Resignation as Director Clause in Contracts

Resignation as Director. Employee shall, promptly after Termination and upon receiving a written request to do so, resign as a director and/or officer of each subsidiary and affiliate of Benchmark of which Employee is then serving as a director and/or officer.

Resignation as Director. Upon Employee's termination of employment for any reason, Employee shall, promptly after Termination and upon receiving a written request agrees to do so, resign as a director and/or officer member of each subsidiary and affiliate Employer's Board of Benchmark of which Directors, if Employee is then serving as a director and/or officerat the time of termination, and to resign from any and all other offices and positions related to Employee's employment with Employer and held by Employee at the time of termination.

Resignation as Director. (a) If, on termination of Employment, the Employee shall, promptly after Termination and upon receiving a written request to do so, resign as is a director and/or officer of each subsidiary and affiliate the Company, any Subsidiary or any other company in which the Company has an interest, the Employee agrees to immediately resign from that directorship. (b) The Employee hereby irrevocably appoints the Company Secretary, or any other employee of Benchmark the Company, as the Employee’s attorney to sign the Employee’s resignation on behalf of which the Employee is then serving as a director and/or officerif the Employee refuses to resign on termination of the Employment.
