Resignation of Office. At any time after notice is given by Employer or Executive to terminate Executive’s employment with Employer, Executive shall, at the request of Employer’s Board of Directors, resign from all offices Executive may hold as a director or officer of Employer and from all other appointments or offices that Executive holds as nominee or representative of Employer.
Resignation of Office. If your employment ends for any reason, you agree to resign in writing effective upon the Termination Date from any office or directorship held with Zarlink or with any subsidiary or affiliated company.

Resignation of Office. On the Termination Date, Employee shall resign as an officer of Employer, but shall continue to serve as a Director and may continue after the date hereof to again seek reelection to the Board of Directors if he desires.

The parties hereby confirm, acknowledge and agree that Executive does not have any grounds that would constitute resignation for “Good Reason” (as defined in Section 2.1 of the Employment Agreement) and that the Company does not have any grounds for termination for “Cause” (as defined in Section 2.1 of the Employment Agreement).
