Common use of Resignation or Replacement of Custodian Clause in Contracts

Resignation or Replacement of Custodian. (a) Upon 30 days’ prior written notice to the Custodian, Student or Sponsor, as the case may be, may remove it from its office hereunder. Such notice, to be effective, shall designate a successor custodian and shall be accompanied by the successor’s written acceptance. The Custodian also may, but is not required to, at any time resign upon 30 days’ prior written notice to Sponsor, whereupon Sponsor shall notify the Student, and shall appoint a successor to the Custodian. In connection with its removal or resignation hereunder, the Custodian may, but is not required to, designate a successor custodian by written notice to the Student or Sponsor, if neither the Sponsor nor Student (or Beneficiary) designate a successor custodian, and the Student or Sponsor will be deemed to have consented to such successor unless the Student or Sponsor designates a different successor custodian and provides written notice thereof together with such different successor’s written acceptance by such date as the Custodian specifies in its original notice to the Student or Sponsor (provided that the Student will have a minimum 30 days to designate a different successor).

In connection with its removal or resignation hereunder, the Custodian may, but is not required to, designate a successor custodian by written notice to the Student Sponsor or SponsorParticipant (or Beneficiary), if neither and the Sponsor nor Student or Participant (or Beneficiary) designate a successor custodian, and the Student or Sponsor will be deemed to have consented to such successor unless the Student Sponsor or Sponsor Participant (or Beneficiary) designates a different successor custodian and provides written notice thereof together with such a different successor’s written acceptance by such date as the Custodian specifies in its original notice to the Student Sponsor or Sponsor Participant (or Beneficiary) (provided that the Student Sponsor or Participant (or Beneficiary) will have a minimum of 30 days to designate a different successor).
