Common use of Resolutions and Incumbency Certificates Clause in Contracts

Resolutions and Incumbency Certificates. (i) Certified copies of the resolutions of the Board of Directors (or equivalent body) of the Company and its Subsidiaries that are parties to any Financing Document approving, as appropriate, the Loans, the Notes, this Agreement and the other Financing Documents, and all other documents, if any, to which the Company or such Subsidiary is a party evidencing partnership or corporate authorization, as the case may be, with respect to such documents;

Resolutions and Incumbency Certificates. (i) Certified certified copies of the resolutions of the Board of Directors (or equivalent bodycomparable authority) of each Obligated Party dated as of the Company Closing Date and its Subsidiaries that are parties to any Financing Document approving, as appropriate, the Revolving Credit Loans, the Notesthis Agreement, this Agreement and the other Financing Documents, and all other documents, if any, in each case being executed and delivered as of the Closing Date, in connection with this Agreement to which the Company or such Subsidiary Obligated Party is a party and evidencing partnership corporate (or corporate authorization, as the case may be, other organizational) authorization with respect to such documents;; and
