Maintenance and Compliance, etc. Each Borrower will and will cause each other Credit Party to (a) observe and comply with all Governmental Requirements, except where failure to do so could not reasonably be expected to have a Material Adverse Effect, and (b) preserve and maintain its corporate existence. Notwithstanding the foregoing, the Precision Transactions shall be expressly permitted hereunder.
