Responsibilities of Originator. Anything herein to the contrary notwithstanding, the exercise by Buyer (or its assignees) of its rights hereunder shall not release Sub-Servicer from any of its duties or obligations with respect to any Receivables or under the related Contracts or Invoices. Buyer shall have no obligation or liability with respect to any Receivables or related Contracts or Invoices, nor shall Buyer be obligated to perform the obligations of Originator.
Responsibilities of Originator. Originator shall pay when due all Taxes payable in connection with the Receivables or their creation or satisfaction. Originator shall perform all of its obligations under agreements related to the Receivables to the same extent as if interests in the Receivables had not been transferred hereunder. The Agent's or any Purchaser's exercise of any rights hereunder or under the Second Tier Agreement shall not relieve Originator from such obligations. Neither the Agent nor any Purchaser shall have any obligation to perform any obligation of Originator or any other obligation (other than the obligation to act in good faith and with commercial reasonableness) or liability in connection with the Receivables.

Each Originator shall perform all of its obligations under agreements related to the Receivables originated by it to the same extent as if interests in such Receivables had not been transferred hereunder. The Agent's or any Purchaser's exercise of any rights hereunder or under the Second Tier Agreement shall not relieve any Originator from such obligations. Neither the Agent nor any Purchaser shall have any obligation to perform any obligation of any Originator in connection with the Receivables.

(a) Originator agrees, to direct, and hereby grants to each of the Company and the Agent the authority to direct, all Obligors to make payments of Receivables directly to a Lock-Box Account at a Lock-Box Bank. Originator further agrees to transfer any Collections that it receives directly, to Servicer (for deposit to such a Lock-Box Account) within one Business Day of receipt thereof, and agrees that all such Collections shall be deemed to be received in trust for the Company.
(b) Originator shall perform its obligations hereunder, and the exercise by the Company or its designee of its rights hereunder shall not relieve Originator from such obligations.
(c) None of the Company, Servicer, Purchaser or the Agent shall have any obligation or liability to any Obligor or any other third Person with respect to any Receivables, Contracts related thereto or any other related agreements, nor shall the Company, Servicer, Purchaser or the Agent be obligated to perform any of the obligations of Originator thereunder.
(d) Originator hereby grants to Servicer an irrevocable power of attorney, with full power of substitution, coupled with an interest, to take in the name of Originator all steps necessary or advisable to indorse, negotiate or otherwise realize on any writing or other right of any kind held or transmitted by Originator or transmitted or received by the Company (whether or not from Originator) in connection with any Receivable or Related Right.

Anything herein to the contrary notwithstanding, the exercise by Buyer (or its assignees) of its rights hereunder shall not release Originator from any of its duties or obligations with respect to any Receivables or under the related Contracts or Invoices, including the payment when due of any taxes, including without limitation, GST, PST and other sales taxes payable in connection with its performance under the Contracts relating to the Receivables. Buyer shall have no obligation or liability with respect to any Receivables or related Contracts or Invoices, nor shall Buyer be obligated to perform the obligations of Originator.
Responsibilities of Originator. Anything herein to the contrary ------------------------------ notwithstanding, Originator shall repurchase from the Company all merchandise repossessed by the Company (or the Servicer on its behalf) with respect to Pool Receivables in default, at a price equal to the price at which such merchandise is resold to a dealer.

(c) Originator hereby grants to the Company, acting directly or through the Servicer, an irrevocable power of attorney, with full power of substitution, coupled with an interest, to take in the name of Originator all steps necessary or advisable to indorse, negotiate or otherwise realize on any writing or other right of any kind held or transmitted by Originator or transmitted or received by the Company (whether or not from Originator) in connection with any Originator Account.

Each Originator shall pay when due all Tax Liabilities payable in connection with the Accounts originated by it or their creation or satisfaction (excluding Tax Liabilities on, or measured by, the overall net income or gross receipts of the Buyer). Each Originator shall perform all of its obligations under agreements related to the Accounts originated by it to the same extent as if interests in such Accounts had not been transferred hereunder. The Agent's or the Buyer's exercise of any rights hereunder or under the Second Tier Agreement shall not relieve any Originator from such obligations. Neither the Agent, any of the Lenders, nor the Buyer shall have any obligation to perform any obligation of any Originator in connection with the Accounts.
