I acknowledge that HSBC Securities and Pershing do not provide tax, accounting or legal advice and that I am responsible for these matters. I should consult with my tax adviser regarding the tax consequences of my investment decisions. United States persons (including U.S. citizens and residents) are subject to U.S. taxation on their worldwide income and may be subject to tax and other filing obligations with respect to the U.S and non-U.S. accounts including, for example, Form TD F 90-22.1 (Report of Foreign Bank and Financial Accounts (“FBAR”)). U.S. persons should consult a tax advisor for more information. If I am a resident or citizen of a non-U.S. jurisdiction (or an entity domiciled outside the U.S.), I further represent that I am responsible for, and shall comply with, all laws, regulations and reporting requirements of such foreign jurisdiction that may be applicable as the result of my maintaining an account with HSBC Securities in the United States. These may include, without limitation, any laws or regulations in respect of the payment of taxes, tax reporting or foreign exchange holdings or reporting applicable to residents, citizens or domiciled entities of my country.
Responsibility for Account. You agree to use your Account only in the manner and for the purposes described in this Account Agreement. If you attempt to use your Account in any other manner or for any other purpose, we may decline the transaction or in our discretion we may complete it without incurring any obligation to honor the same type of transaction on future occasions. You are responsible for all transactions and charges incurred through use of your Account by you or by anyone you allow to use your Account. You agree to take reasonable precautions to prevent unauthorized use of your Account or disclosure of your Personal Identification Number (“PIN”). You will notify us promptly if such use or disclosure occurs. The amount available on your Card will be reduced by the amount of your transactions plus applicable fees. There is no overdraft/credit feature on your Account. To the extent permitted by law, we reserve the right to take or offset funds in any account you have with us or any debt or obligation you owe to us. If you breach or do not fulfill any term of this Agreement, you are responsible to us for all damages and losses.

Further, the Artist is responsible for all activities that occur under the Artist’s account, including any acts or omissions of any authorized persons that the Artist adds to the Artist’s account or any Artist Model account. The Artist will promptly notify the Company of any unauthorized use of the Artist’s account (including any Artist Model account) or any other security breach.

Further, the Creator is responsible for all activities that occur under the Creator’s account, including any acts or omissions of any authorized persons that the Creator adds to the Creator’s account or any subaccount. The Creator will promptly notify the Company of any unauthorized use of the Creator’s account (including any subaccount) or any other security breach.

Sniffies may disable any account, whether chosen by you or provided by Sniffies, at any time in its sole discretion for any reason or no reason, including if, in its opinion, you have violated any part of this agreement.
