Restatement of Agreement. The Three-Year Revolving Credit Agreement dated as of July 1, 1992 has been restated to incorporate all changes contained in this and all prior Amendments and is attached as Exhibit I.

With effect from the date first written above, the Agreement is hereby amended and restated in its entirety so that Employee's continuing duties and obligations to the Company shall henceforth be governed by the terms contained herein (as so amended and restated, the "First Restated Agreement"). Employee acknowledges and agrees that the Company has satisfied in full all of its obligations to Employee contained under the Agreement. Following the effective date of this First Restated Agreement, Employee agrees that the Agreement, as originally executed by the parties, shall have no force or effect.
