Restricted Payments; Restrictions on Subsidiary Distributions. (a) Company shall not, and shall not permit any of its Subsidiaries to, directly or indirectly, declare, order, pay, make or set apart any sum for any Restricted Junior Payment except (i) Company may pay a dividend on its common stock in an aggregate amount not to exceed $0.13 per share to be paid in Fiscal Year 1999, and for each Fiscal Year thereafter, an amount equal to $0.02 per share in addition to the amount of such dividend per share permitted to be paid in the immediately preceding Fiscal Year (regardless of whether actually paid); provided, immediately prior to the declaration thereof, and after giving effect to the payment of, any such dividend, (1) no Event of Default has occurred and is continuing, and (2) Company is in compliance with Section 6.6, and (ii) Company may make regularly scheduled payments of interest in respect of any Subordinated Indebtedness in accordance with the terms of, and only to the extent required by, and subject to the subordination provisions contained in, the indenture or other agreement pursuant to which such Subordinated Indebtedness was issued, as such indenture or other agreement may be amended from time to time to the extent permitted under Section 6.13.
