Restriction on Solicitation. The Executive shall not, at any time during his employment or for a period of six (6) months after the termination of the Executive's employment, for any reason, without the prior written consent of the Company, for his account or jointly with another, either directly or indirectly, for or on behalf of himself or any individual, partnership, corporation or other legal entity, as principal, agent, employee or otherwise, solicit, influence, entice or induce, attempt to solicit, influence, entice or induce:
(a) any person who is employed by the Company to leave such employment; or
(b) any person, firm or corporation whatsoever, who is or was at any time in the last twelve (12) months of the Executive's employment a customer or supplier of the Company or any affiliate or subsidiary of the Company, to cease its relationship with the Company or any affiliate or subsidiary of the Company.
Restriction on Solicitation. Provider shall not, for as long as Provider is providing services to Hospital hereunder and for a period of six months after the termination of this Agreement, directly or indirectly, promote, participate, or engage in any business activity that would interfere with the performance of Group’s business. By way of example only and not by way of limitation, Provider shall not solicit, attempt to solicit, or cause to be solicited any customers or clients of Group, nor will Provider solicit, attempt to solicit, or cause to be solicited any employees, agents or independent contractors of Group to cease their relationship with Group. The parties expressly acknowledge that remedies at law shall be deemed to be inadequate for any breach of any of the covenants of this section, and Group shall be entitled to injunctive relief in addition to any other remedies it may have in law or in equity in the event of such breach. This section shall remain enforceable regardless of any termination of the Agreement.
Restriction on Solicitation. The Employee agrees that during the longer of (i) the Employment Period, and (ii) the period during which the Employee is employed by the Company, and in either such case, for a period of two (2) years thereafter he will not:
(i) directly or indirectly solicit, raid, entice or induce any employee of the Company or any of its affiliates to become an employee of any person, firm or corporation which is, directly or indirectly, in competition with the business or activities of the Company or any of its affiliates; or
(ii) directly or indirectly approach any such employee for these purposes; or
(iii) authorize or knowingly approve the taking of such actions by other persons on behalf of any such person, firm or corporation, or assist any such person, firm or corporation in taking such action; or
(iv) directly or indirectly solicit, raid, entice or induce any person, firm or corporation who or which on the date hereof is, or at the time during his employment with the Company or any of its affiliates shall be, a customer of the Company or any of its affiliates, to become a customer for the same or similar products which it purchased from the Company or any of its affiliates, of any other person, firm or corporation, and the Employee shall not approach any such customer for such purpose or authorize or knowingly approve the taking of such actions by any other person.
Restriction on Solicitation. While employed by the Company and for a period of one (1) year following termination of the Executive's employment, the Executive agrees that he will not directly or indirectly: (i) solicit or encourage any of the Company's customers to deal with the Executive or any other third party other than the Company or (ii) solicit for the Executive's benefit or for the benefit of any third party the employment or services of any then current employee of the Company.
Restriction on Solicitation. The Employee agrees that during the Employment Period and for two years thereafter, he will not:
(i) directly or indirectly solicit, raid, entice or induce any employee of the Company or any of its subsidiaries to become an employee of any person, firm or corporation which is, directly or indirectly, in competition with the business or activities of the Company or any of its subsidiaries:
(ii) directly or indirectly approach any such employee for these purposes;
(iii) authorize or knowingly approve the taking of such actions by other persons on behalf of any such person, firm or corporation, or assist any such person, firm or corporation in taking such action; or
(iv) directly or indirectly solicit, raid, entice or induce any person, firm or corporation who or which on the date hereof is, or at the time during his employment with the Company shall be, a customer of the Company or of any of its subsidiaries to become a customer for the same or similar products which it purchased from the Company or any of its subsidiaries, of any other person, firm or corporation, and the Employee shall not approach any such customer for such purpose or authorize or knowingly approve the taking of such actions by any other person.
Restriction on Solicitation. During any period in which the Consultant renders Services to the Company and for a period of one (1) year thereafter, the Consultant shall not recruit or otherwise solicit, entice or induce any employee of the Company or any of its subsidiaries or affiliates to terminate his or her employment, or otherwise cease his or her relationship, with the Company or any of its subsidiaries or affiliates.
Restriction on Solicitation. The Consultant shall not, at any time during their engagement or for a period of six (6) months after the termination of the Consultant’s engagement, for any reason, without the prior written consent of the Corporation, for his account or jointly with another, either directly or indirectly, for or on behalf of himself or any individual, partnership, corporation or other legal entity, as principal, agent, employee or otherwise, solicit, influence, entice or induce, attempt to solicit, influence, entice or induce:
(A) any person who is employed by the Corporation to leave such employment; or
(B) any person, firm or corporation whatsoever, who is or was, at any time in the last twelve (12) months of the Consultant’s engagement with the Corporation, a customer or supplier of the Corporation or any affiliate or subsidiary of the Corporation, to cease its relationship with the Corporation or any affiliate or subsidiary of the Corporation.
Restriction on Solicitation. Except as expressly authorized in Sections 14.2 and 14.3 and except for general published solicitations or advertisements for employment (whether in print or on-line), for a period of twenty-four (24) months after the Closing Date (or, if the Closing does not occur, twenty-seven (27) months after the Signing Date), (i) neither Party may (without obtaining the prior written consent of the other Party) solicit for employment any employees of the other Party (or such Party’s Affiliate), who are directly or indirectly engaged in the operation of the Purchased Assets or the negotiation or the Closing of the transactions contemplated by this Agreement and (ii) Buyer may not solicit for employment any of the Excluded Employees so long as such employee is employed by Seller or Seller’s Affiliate.
Restriction on Solicitation. During the Term and for one year thereafter, Advisor will not recruit or otherwise solicit, entice and induce any employee of the Company to terminate their employment with, or otherwise cease their relationships with the Company.
Restriction on Solicitation. While employed by Employer and for one (1) year after Employee's employment ends, Employee agrees not to do any of the following: (i) directly or indirectly solicit or encourage Employer Customers to deal with Employee or any other person or entity other than the Employer in connection with the Employer Customer's requirements for the Business Activities, or assist or aid any others to do so; or (ii) directly or indirectly solicit or encourage other personnel subject to the provisions of this paragraph 7 to engage in any of the activities restricted in this Agreement; or (iii) directly or indirectly solicit for Employee's benefit or the benefit of others the employment or services of any then-present employee of Employer.
