Common use of Restrictions on Assignment Clause in Contracts

Restrictions on Assignment. Subject to Section V(I)(2), this Agreement may not be assigned in whole or in part by either Party without the prior written consent of the other Party, which consent may not be unreasonably withheld, conditioned, or delayed. The Parties acknowledge that it is reasonable for Company to withhold its consent to an assignment proposed by Seller where, in Company’s reasonable judgment, the proposed assignee does not have the financial capability or experience necessary to operate and maintain solar photovoltaic systems such as the Facility.
