Common use of Restrictions on Use of the Services Clause in Contracts

Restrictions on Use of the Services. The rights granted to you in this Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit Services or any portion of Services; (b) you shall not frame or utilize framing techniques to enclose any trademark, logo, or other Services (including images, text, page layout or form); (c) you shall not use any metatags or other “hidden text” using Spyce’s name or trademarks; (d) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of Services except to the extent the foregoing restrictions are expressly prohibited by applicable law; (e) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from the Services; (f) you shall not access Services in order to build similar or competitive products or services; (g) except as expressly stated herein, no part of Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; (h) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in Services; (i) you shall not circumvent, remove, alter, deactivate, degrade, or thwart any of the protections of the Services; (j) you will not take any action that imposes or may impose (in our sole determination) an unreasonable or disproportionately large load on our technical infrastructure; and (k) you will not interfere with or attempt to interrupt the proper operation of the Services through any virus, device, information collection or transmission mechanisms, software or routine, or access or attempt to gain access to any data, files, or passwords related to the Services through hacking, password or data mining, or any other means. Any future release, update or other addition to Services shall be subject to this Agreement. Spyce reserves all rights not granted in this Agreement. Any unauthorized use of Services terminates the licenses granted by Spyce pursuant to this Agreement. The foregoing sentence is not exclusive of any other rights or remedies that may be available to Spyce under law, equity, statute, or otherwise.

Restrictions on Use of the Services. The 3.1. You agree that you are responsible for your own conduct while accessing or using the Services and for any consequences thereof. You agree to use the Services only for purposes that are legal, proper and in accordance with these Terms and any applicable laws or regulations. By way of example, and not as a limitation, you may not and may not allow any third party to: - send, upload, distribute or disseminate or offer to do the same with respect to any unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable content; - distribute viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other items of a destructive or deceptive nature; - upload, post, transmit or otherwise make available through the Service any content that infringes any patent, trademark, copyright, trade secret or other proprietary right of any party, unless you are the owner of such rights granted or have the permission of the owner to you in this Agreement are subject post such content; - use the Services to violate the following restrictionslegal rights (such as rights of privacy and publicity) of others, including your customers, or send through the Services any content, which is unauthorized or unsolicited advertising, junk or bulk e-mail; - carry on any unlawful businesses and activities such as, for example: (ai) you shall not licensecreation, sellsale or distribution of sites offering services such as prostitution, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit Services or any portion of Servicesescorts; (bii) you shall not frame fraudulent business, sale of counterfeit or utilize framing techniques stolen items or the sale of goods or service that are illegally imported or exported; (iii) sale of narcotics, illegal substances or controlled substances, any equipment for making or using such drugs; (iv) pyramid schemes, high risk investments schemes and other business that we determine in our sole discretion to enclose be unfair, deceptive or predatory towards consumers; (v) any trademarkbusiness that we believe poses elevated financial risk, logoillegal liability, or other Services (including images, text, page layout violates the law of sender or form)recipient of payment; (c) you shall not use any metatags or other “hidden text” using Spyce’s name or trademarks; (d) you shall not - modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile adapt or reverse engineer any part portion of the Website or any software used for providing Services; - remove any copyright, trademark or other proprietary rights notices contained in or on the Website or any content posted thereon; - display any content through the Services except to the extent the foregoing restrictions are expressly prohibited by that contains any hate-related or violent information or contains any other material, products or services that violate or encourage conduct that would violate any criminal laws, any other applicable lawlaws, or any third party rights; (e) you shall not - use any manual or automated softwarerobot, devices spider, site search/retrieval application, or other processes (including but not limited device to spiders, robots, scrapers, crawlers, avatars, data mining tools collect information about its customers for any unauthorized purposes; - access or use the like) to “scrape” Services for the purpose of bringing an intellectual property infringement claim against Heropayments or download data from for the purpose of interfering with the proper functioning of the Services or creating a product or service competitive with the Services; (f) you shall not access - use the Services in order to build similar ways not specified in these Terms. 3.2. If the User violates these Terms, including this Clause 3, Heropayments has the right (though not the obligation) to, in Heropayments' sole discretion (without the User’s consent or competitive products notice), block, terminate or services; (g) except as expressly stated herein, no part of Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; (h) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in Services; (i) you shall not circumvent, remove, alter, deactivate, degrade, or thwart any of the protections of the Services; (j) you will not take any action that imposes or may impose (in our sole determination) an unreasonable or disproportionately large load on our technical infrastructure; and (k) you will not interfere with or attempt to interrupt the proper operation of the Services through any virus, device, information collection or transmission mechanisms, software or routine, or access or attempt to gain deny access to any data, files, or passwords related to the Services through hacking, password or data mining, or any other means. Any future release, update or other addition to Services shall be subject to this Agreement. Spyce reserves all rights not granted in this Agreement. Any unauthorized and use of Services terminates the licenses granted by Spyce pursuant to this Agreementany User. The foregoing sentence is Heropayments shall not exclusive of any other rights or remedies that may be available to Spyce under law, equity, statute, or otherwisegive reasons for its actions.

The foregoing sentence is not exclusive of any other rights or remedies that may be available to Spyce Civic Eagle under law, equity, statute, or otherwise.

The foregoing sentence is not exclusive of any other rights or remedies that may be available to Spyce Plural under law, equity, statute, or otherwise.
