Retailer to notify Distributor of changes affecting security. Subject to clause 12.12, the Retailer will immediately notify the Distributor if any of the following occurs: (a) the Retailer no longer carries an acceptable credit rating; or (b) the Retailer has complied with prudential requirements by arranging for a third party to provide security in accordance with clause 12.1(b), and the Retailer learns that the third party no longer carries an acceptable credit rating; or (c) the Retailer has reasonable cause to believe that its financial position is likely to be materially adversely impaired such that its ability to pay for Services will be affected. Any information provided by the Retailer to the Distributor under this clause 12.11 will be Confidential Information.
