CONVEYANCE ONLY. 3.1 Distributor may enter into Distributor’s Agreement with a Consumer: The Distributor may enter into a Distributor’s Agreement directly with a Consumer at the Consumer’s written request. The Distributor acknowledges that its entry into a Distributor’s Agreement with a Consumer does not override any obligations of the Consumer to the Retailer during the term of any fixed term Electricity Supply Agreement.

CONVEYANCE ONLY the Distributor may terminate this agreement by giving the Retailer at least 120 Working Days' notice in writing of termination and the date on which this agreement will terminate if the Distributor proposes to move to a conveyance only form of use of system agreement. Where the Distributor issues a notice of termination to Retailer under this clause 21.1(g), the Distributor will at the same time provide any Consumer that it proposes to move to a conveyance only arrangement with a copy of the standard use of system agreement (conveyance) it proposes will apply between the Distributor and the Consumer after the termination of this agreement. If the Consumer wishes to continue to use the Network, the parties will negotiate any amendments to the proposed new use of system agreement (conveyance) in good faith during the 120 Working Day notice period with a view to entering into the new agreement effective from the termination of this agreement
CONVEYANCE ONLY basis: If a Consumer has, or enters into, a Distributor’s Agreement, the Distributor will: allow electricity to be conveyed through the Network on a Conveyance Only basis on the applicable terms of this agreement to allow the Retailer to supply electricity to that Consumer; and for each relevant ICP, update the Registry field that indicates that a Distributor’s Agreement has been entered into in respect of that ICP. for each relevant ICP, and within 5 Working Days following the commencement of a Distributor’s Agreement, notify the Retailer that a Distributor’s Agreement has been entered into in respect of that ICP Valid Distributor’s Agreement: The Retailer will not knowingly supply electricity on a Conveyance Only basis to an ICP unless there is a valid Distributor’s Agreement in force in relation to the ICP. The Retailer: The Retailer: will not knowingly do or omit to do anything, or cause any person to do or omit to do anything, that is inconsistent with the obligations of the Consumer or the Distributor under any Distributor’s Agreement. However, the technical requirements in a Distributor’s Agreement may differ from the technical requirements in relation to Distribution Services set out in this agreement, if the Distributor has given the Retailer reasonable notice of those requirements; and acknowledges that the Distributor will be entitled to terminate any Distributor’s Agreement in accordance with its terms. Co-operate to resolve issues: Without limiting either party's rights or remedies in respect of any breach of this agreement, if either of the following issues arises, the Distributor and the Retailer will co-operate with each other to try to resolve the issue in a manner that on balance delivers the best outcome for all affected parties (including the Consumer) but that does not adversely impact on the integrity of the Network: if, in relation to the supply of electricity to any Consumer that is a party to a Distributor’s Agreement, the Distributor notifies the Retailer that it considers (acting reasonably) that the Retailer has done, or is doing, anything that is inconsistent with the Distributor's Agreement and that may have an impact on the Network or the provision of distribution services by the Distributor to that or any other Consumer; or if either the Retailer or the Distributor becomes aware that any provisions of a Distributor’s Agreement and any Electricity Supply Agreement would conflict to the extent that a party would be in breach o...

  • CONVEYANCE OF THE SAID PLOT The Promoter, on receipt of Total Price of the [Apartment/Plot] as per para 1.2 under the Agreement from the Allottee, shall execute a conveyance deed and convey the title of the plot together with proportionate indivisible share in the Common Areas within 3 months from the date of issuance of the occupancy certificate* and the completion certificate, as the case may be, to the allottee. [Provided that, in the absence of local law, the conveyance deed in favour of the allottee shall be carried out by the promoter within 3 months from the date of issue of occupancy certificate]. However, in case the Allottee fails to deposit the stamp duty and/or registration charges within the period mentioned in the notice, the Allottee authorizes the Promoter to withhold registration of the conveyance deed in his/her favour till payment of stamp duty and registration charges to the Promoter is made by the Allottee.

  • Conveyance of Property In exchange for the payment of both the Purchase Price and the Buyer’s Premium in accordance with Sections 1 and 2 above, Oceaneering shall issue to Buyer a Xxxx of Sale in the form attached hereto as Schedule 2 and incorporated herein for all purposes, whereby Seller shall TRANSFER, CONVEY, SELL, DELIVER and ASSIGN to Buyer the Property in its present condition and location, free and clear of all liens, claims and other encumbrances. THE LOCAL CHURCH HAS BEEN IN SOLE AND EXCLUSIVE POSSESSION OF THE REAL PROPERTY AND THE PERSONAL PROPERTY AND IS FULLY AWARE OF ALL FAULTS AND MATTERS RELATING THERETO.

  • Additional Assignments The Contractor further agrees to, and if applicable, cause each of its employees to, execute, acknowledge, and deliver all applications, specifications, oaths, assignments, and all other instruments which the City might reasonably deem necessary in order to apply for and obtain copyright protection, mask work registration, trademark registration and/or protection, letters patent, or any similar rights in any and all countries and in order to assign and convey to the City, its successors, assigns and nominees, the sole and exclusive right, title, and interest in and to the deliverables. The Contractor’s obligations to execute, acknowledge, and deliver (or cause to be executed, acknowledged, and delivered) instruments or papers such as those described in this Paragraph 38 a., b., and c. shall continue after the termination of this Contract with respect to such deliverables. In the event the City should not seek to obtain copyright protection, mask work registration or patent protection for any of the deliverables, but should desire to keep the same secret, the Contractor agrees to treat the same as Confidential Information under the terms of Paragraph 37 above.

  • Transfer/Assignment (A) Subject to compliance with clause (B) of this Section 8, this Warrant and all rights hereunder are transferable, in whole or in part, upon the books of the Company by the registered holder hereof in person or by duly authorized attorney, and a new warrant shall be made and delivered by the Company, of the same tenor and date as this Warrant but registered in the name of one or more transferees, upon surrender of this Warrant, duly endorsed, to the office or agency of the Company described in Section 3. All expenses (other than stock transfer taxes) and other charges payable in connection with the preparation, execution and delivery of the new warrants pursuant to this Section 8 shall be paid by the Company.

  • Assignment of Warranties Each Schedule is intended to be a true lease and operating lease as defined in Tex. Bus. & Comm. Code Article 2A. Lessor has acquired or will acquire the Assets in connection with this MOLA and hereby agrees to assign to Lessee any warranties provided to Lessor with respect to the Assets during the Term of the applicable Schedule, to the extent the warranties are assignable. Unless Lessor is the manufacturer or is otherwise liable under the Contract, Lessor shall not be liable for damages for any reason for any act or omission of the manufacturer of the Assets. Except as provided in Section 24 (“Remedies”) hereof, Lessee acknowledges that none of the following shall relieve Lessee from the obligations under this MOLA during the Schedule Term unless due to Lessor’s acts or omissions: (i) Lessee’s dissatisfaction with any unit of the Assets, (ii) the failure of an Asset to remain in useful condition for the Schedule Term, or (iii) the loss or right of possession of the Assets (or any part thereof) by Lessee. Lessee shall have no right, title or interest in or to the Assets except the right to use the same upon the terms and conditions herein contained. The Assets shall remain the sole and exclusive personal property of Lessor and not be deemed a fixture whether or not it becomes attached to any real property of Lessee.
