Return and Exclusion. At the written request of the Disclosing Party, the Receiving Party shall, without undue delay: (a) return or destroy all tangible documents and media in its possession or control containing the Confidential Information of the Disclosing Party; b Delete confidential information stored electronically from the Revealing Party in its possession or control; and (c) certify your compliance with this Section 6.4 in writing. Notwithstanding the foregoing: (x) the Receiving Party shall not be obliged to make unrecoverable confidential information from the Disfollowing The Distrustable Party that is contained in a backup of the archived computer system made in accordance with the applicable Party's legal and financial compliance obligations or the security and disaster recovery procedure; and (y) Smartsheet will return and delete Customer Content as set forth in Section 10.4 (Return and Deletion of Customer Content).   • Warranties and Exclusions 6.1 Accenture warrants that the SaaS Services provided to Client pursuant to the Agreement will comply in all material respects with the Documentation. This warranty shall not apply where: (i) the Client’s or any Authorized User's access or use of the SaaS Services is not in accordance with the Agreement or with Accenture’s instructions; (ii) modification or alteration of the SaaS Services or any systems, software or other content or materials embodied therein is made by any Party other than Accenture; or (iii) the SaaS Services are being provided free of charge, or as a trial, pre-release or as a beta release.
