Common use of Return of Information and Materials Clause in Contracts

Return of Information and Materials. Upon expiration of this Agreement pursuant to Section 7.1 or upon termination of this Agreement as it relates to a particular Product pursuant to Section 9.2, each Party, at the request of the other Party, will return all data, files, records and other materials in its possession or control relating to such other Party’s Technology, or containing or comprising such other Party’s Information and Inventions or other Confidential Information and, in each case, to which the returning Party does not retain rights hereunder (except one copy of which may be retained for archival purposes).

Return of Information and Materials. Upon expiration of this Agreement pursuant to Section 7.1 Section 9.1 or upon termination of this Agreement as it relates to a particular Product in its entirety by either Party pursuant to Section 9.2this Article 9, each Party, at the request of the other Party, will return all data, files, records and other materials in its possession or control relating to such other Party’s Technology, or containing or comprising such other Party’s Information and Inventions or other Confidential Information and, in each case, to which the returning Party does not retain rights hereunder (except one copy of which may be retained for archival purposes). Notwithstanding the foregoing, each Party may retain one (1) copy of the other Party’s Confidential Information for its legal archives.
