Common use of Returns Furnished Clause in Contracts

Returns Furnished. Cyrk has made available to Simon true and complete copies of (i) relevant portions of income tax audit reports, statements of deficiencies, closing or other agreements received by any member of the Cyrk Group or on behalf of such member relating to Taxes, and (ii) all federal and state income or franchise tax returns for the members of the Cyrk Group for all periods ending on and after November 30, 1990. Neither Cyrk nor any member of the Cyrk Group does business in or derive income from any state, local, territorial or foreign taxing jurisdiction other than those for which all Returns have been furnished to Simon in which no Taxes are payable.

Neither Cyrk Simon nor any member of the Cyrk Simon Group does business in or derive derives income from any state, local, territorial or foreign taxing jurisdiction other than those for which all Returns have been furnished to Simon Cyrk in which no Taxes are payable.
