Common use of Review and Consultation Clause in Contracts

Review and Consultation. The Executive hereby acknowledges and agrees that he (i) has read this Agreement in its entirety prior to executing it, (ii) understands the provisions, effects and restrictions of this Agreement, (iii) has consulted with such of his own attorneys, accountants and financial and other advisors as he has deemed appropriate in connection with his execution of this Agreement, and (iv) has executed this Agreement voluntarily. THE EXECUTIVE HEREBY UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT HE HAS NOT RECEIVED ANY ADVICE, COUNSEL OR RECOMMENDATION WITH RESPECT TO THIS AGREEMENT FROM ANY DIRECTOR OR EMPLOYEE OF, OR ANY ATTORNEY, ACCOUNTANT OR ADVISOR FOR, THE BANK OR THE HOLDING COMPANY.

Review and Consultation. The Company and the Executive hereby acknowledges acknowledge and agrees agree that he each (i) has read this Agreement in its entirety prior to executing it, (ii) understands the provisions, provisions and effects and restrictions of this Agreement, (iii) has consulted with such of his own attorneys, accountants accountants, and financial and other advisors as it or he has deemed appropriate in connection with his their respective execution of this Agreement, and (iv) has executed this Agreement voluntarily. THE EXECUTIVE HEREBY UNDERSTANDS, ACKNOWLEDGES ACKNOWLEDGES, AND AGREES THAT THIS AGREEMENT HAS BEEN PREPARED BY COUNSEL TO THE COMPANY AND THAT HE HAS NOT RECEIVED ANY ADVICE, COUNSEL COUNSEL, OR RECOMMENDATION WITH RESPECT TO THIS AGREEMENT FROM ANY DIRECTOR THE COMPANY OR EMPLOYEE OF, OR ANY ATTORNEY, ACCOUNTANT OR ADVISOR FOR, THE BANK OR THE HOLDING COMPANYITS COUNSEL.

Review and Consultation. The Executive hereby acknowledges and agrees that that: (a) he (i) has read this Agreement in its entirety prior to executing it, the agreement; (iib) he understands the provisions, provisions and effects and restrictions of this Agreement, ; (iiic) he has consulted with such of his own attorneys, accountants and financial and or had the opportunity to consult with an attorney or other advisors advisers as he has deemed appropriate in connection with his the execution of this Agreement, and ; (ivd) he has executed this Agreement voluntarily. THE EXECUTIVE HEREBY UNDERSTANDSvoluntarily and knowingly and that no promise, ACKNOWLEDGES AND AGREES THAT HE HAS NOT RECEIVED ANY ADVICEinducement or agreement, COUNSEL OR RECOMMENDATION WITH RESPECT TO THIS AGREEMENT FROM ANY DIRECTOR OR EMPLOYEE OFnot expressed herein, OR ANY ATTORNEYhas been made to his by XXXX; and (e) he has not received any advice, ACCOUNTANT OR ADVISOR FORcounsel or recommendation from APSI or its attorneys with respect to this Agreement and he does not rely and has not relied upon any representation or statement by APSI or its agents or representatives, THE BANK OR THE HOLDING COMPANYother than those expressly contained in this Agreement.

THE EXECUTIVE EMPLOYEE HEREBY UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT HE HAS NOT RECEIVED ANY ADVICE, COUNSEL OR RECOMMENDATION WITH RESPECT TO THIS AGREEMENT FROM THE COMPANY, THE BANK, ANY DIRECTOR DIRECTOR, OFFICER OR EMPLOYEE OFOF THE COMPANY OR THE BANK, OR ANY ATTORNEY, ACCOUNTANT OR ADVISOR FOR, FOR THE BANK COMPANY OR THE HOLDING COMPANYBANK.
