Common use of Right of Enforcement and Settlement Clause in Contracts

Right of Enforcement and Settlement. From and after the Closing Date, SCC shall have complete control over the satisfaction and discharge of the Assumed Obligations and the right to commence, conduct and control all negotiations and proceedings with respect thereto. Seller shall notify SCC promptly of any claim made which arose, accrued or otherwise relates to any Assumed Obligation and shall not, except with SCC's prior written consent, voluntarily settle or offer to settle, or consent to any compromise or admit liability with respect to, any such claim. Seller shall cooperate with SCC in any reasonable manner requested by Buyer in connection with any negotiations or proceedings involving any Assumed Obligation.
