Common use of Right of Review and Comment Clause in Contracts

Right of Review and Comment. Licensee shall consult with Licensor regarding the prosecution of the Licensed Patents by using commercially reasonable efforts to provide Licensor a Reasonable Opportunity to review and comment on all proposed submissions to any patent office before submission, where “Reasonable Opportunity” means that Licensee shall provide Licensor or patent counsel true copies of all documents relating to filing, registration, prosecution, and maintenance of patent applications and patents within the Licensed Patents as soon as reasonably practical after Licensee has received such documents and materials. Licensee shall consider in good faith Licensor’s comments concerning such documents and materials that it timely receives.
