Right to Deduct. The Company shall have the right to offset any money properly due by the Executive to the Company against any amounts payable by the Company to the Executive under this Agreement.

In the event Subcontractor is no longer working for Contractor, or is not owed sums sufficient to compensate or reimburse Contractor for the within amounts, then in that event, Subcontractor agrees to pay such sums to Contractor, within ten (10) days following written demand for payment.

(a) temporarily disabled before termination of his employment hereunder, the Company and its subsidiaries will pay the Executive the Annual Salary and Benefits to which he is otherwise entitled pursuant to his employment provided the Executive exercises reasonable efforts to return to employment as soon as practicable until the earlier of (i) such time as the Executive is eligible for Long Term Disability Benefits or 1 20 days following the date on which such temporary disability arose, or
(b) permanently disabled (which shall refer to any disability resulting i n the Executive being unable to perform substantially all his employment duties for more than 120 consecutive days or more than 120 days in any calendar year), the Company may forthwith terminate the Executive's employment, and the Executive will thereafter be paid (by the Company or by a corporation entitled to issue annuity contracts engaged by the Company)
Right to Deduct. If Licensor is held responsible by a Provincial Workers Compensation authority for employees of Licensee or a Contractor of Licensee because Licensee or such Contractor has failed to fulfil its legal obligations under the applicable Provincial Workers' Compensation laws or regulations, any payments or costs associated with the default of Licensee or any of its Contractors will be reimbursed to Licensor by Licensee and Licensor is hereby entitled to withhold sufficient amounts to satisfy demands made by the Provincial Workers Compensation authority from the amount otherwise payable to Licensee pursuant to section 4.4 above.
