Common use of Right to Purchase Clause in Contracts

Right to Purchase. Subject to all subsections of this Section 3 and to Section 5 (“Prohibited Purchases”), the Company shall have the right to purchase from each Management Stockholder, and each such Management Stockholder shall have the obligation to sell to the Company, all, but not less than all, of such Management Stockholder’s shares of Common Stock:

Right to Purchase. Subject to all subsections of this Section 3 and to Section 5 (“Prohibited Purchases”), the Company shall have the right to purchase from each Management StockholderShareholder, and each such Management Stockholder Shareholder shall have the obligation to sell to the Company, all, but not less than all, of such Management StockholderShareholder’s shares Shares following the termination of Common Stockemployment of such Management Shareholder with the Company or any Subsidiary that employs such individual as follows:

Right to Purchase. Subject to all subsections of this Section 3 5 ----------------- and to Section 5 (“Prohibited Purchases”)9, the Company shall have the right to purchase from each a Management Stockholder, and each such Management Stockholder shall have the obligation to sell to the Company, all, but not less than all, of such Management Stockholder’s 's shares of Common StockStock if such Management Stockholder's employment with the Company and all subsidiaries thereof is terminated:

Right to Purchase. Subject to all subsections of this Section 3 and to Section 5 (“Prohibited Purchases”)4, the Company shall have the right to purchase from each Management Stockholder, and each such Management Stockholder shall have the obligation to sell to the Company, all, but not less than all, any or all Shares held by such Management Stockholder and any or all Shares held by Permitted Transferees of such Management Stockholder (it being understood that any such Management Stockholder’s shares 's Permitted Transferees shall comply with all applicable provisions of Common Stockthis Section 4) upon such Management Stockholder's termination of employment with the Company or any Subsidiary:

Subject to all subsections of this Section 3 and to Section 5 6 (“Prohibited Purchases”), the Company shall have the right (but not the obligation), exercisable by the Board in its sole discretion (excluding such Management Stockholder or other members of the Board who are designees of the Management Stockholders), to purchase from each Management Stockholder, and each such Management Stockholder shall have the obligation obligation, upon the Company exercising such right, to sell to the Company, all, but not less than allall or any portion, of such Management Stockholder’s shares of Common Stock:
