Common use of Right to Severance Benefits Clause in Contracts

Right to Severance Benefits. The Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 4.3, if the Executive has incurred a Qualifying Termination. The Executive shall not be entitled to receive Severance Benefits if his employment terminates (regardless of the reason) before the Protected Period (as such term is defined in Section 4.2(c)) corresponding to a Change in Control of the Company or more than twenty-four (24) months after the date of a Change in Control of the Company.

Right to Severance Benefits. The Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 4.34.3 herein, if the Executive has incurred incurs a Qualifying TerminationTermination during the six (6) month period immediately prior to a Change in Control or within twenty-four (24) calendar months following a Change in Control. The Executive shall not be entitled to receive Severance Benefits if he or she is terminated for Cause, or if his or her employment terminates (regardless of the reason) before the Protected Period (as such term is defined in Section 4.2(c)) corresponding to a Change in Control of with the Company ends due to death, Disability, or more than twenty-four (24) months after Retirement or due to termination of employment by the date of a Change in Control of the CompanyExecutive without Good Reason.

The Executive shall be entitled to receive from the Company the Severance Benefits, as Benefits described in Section 4.3, 3.3 if the Executive has incurred a Qualifying TerminationTermination and satisfies the release requirements set forth in Section 3.7. The Executive shall not be entitled to receive Severance Benefits if his employment terminates (regardless of the reason) before the Protected Period (as such term is defined in Section 4.2(c)) corresponding to a Change in Control of the Company or more than twenty-four (24) months after the date of a Change in Control of the Company.

The Executive shall be entitled to receive from the Company Severance Benefits, Benefits as described in Section 4.32.3 herein, if the Executive there has incurred a Qualifying Termination. The Executive shall not be entitled to receive Severance Benefits if his employment terminates (regardless of the reason) before the Protected Period (as such term is defined in Section 4.2(c)) corresponding to been a Change in Control of the Controlling Company or more than twenty-four and if, within twelve (2412) months after thereafter, the date of Executive Separates from Service with the Company for any reason specified in Section 2.2 herein as being a Change in Control of the CompanyQualifying Termination.

The Executive shall not be entitled to receive Severance Benefits if his employment terminates (regardless of the reason) before the Protected Period (as such term he is defined in Section 4.2(c)) corresponding terminated for Cause or due to a Change in Control voluntary termination of employment by the Company or more than twenty-four (24) months after the date of a Change in Control of the CompanyExecutive for any reason.
