The Executive shall not be entitled to receive Severance Benefits if he/she is terminated for Cause, or if his/her his employment with terminates (regardless of the Company ends due to death, Disability, or Retirement or due to reason) more than twenty-four (24) months after the date of a voluntary termination Change in Control of employment by the Executive without Good ReasonCompany.
