Rights and Authority of the General Partners. The General Partners shall have the full power, right and authority to manage the Partnership business in all matters and shall have the sole and exclusive power on behalf of the Partnership to control the conduct of the Partnership business. Each Partner hereby grants to the General Partners all the necessary and appropriate powers and authority to carry out the purposes and conduct of the business of the Partnership, subject only to rights of the Partners to vote on specific matters as provided in Section 8.1 and limitations of the authority of the General Partners as provided in Section 7.2, including the following:
