Rights and duties of the Principal. 6.1 The Principal shall at all times during the continuance of this Agreement act towards the Agent dutifully and in good faith. 6.2 The Principal shall be entitled from time to time to extend the range of the Products, or discontinue any of the same. 6.3 The Principal shall : (i) supply to the Agent any information which may come into its possession which may assist the Agent to effect sales pursuant to this Agreement; (ii) honour any contracts for the sale of the Products entered into by the Agent on behalf of the Principal pursuant to this Agreement; (iii) promptly and efficiently deal with any after sales enquiry relating to the Products raised by a customer in the Territory; and (iv) comply with all the applicable laws and regulations relating to the nature, method of manufacture, packaging and labeling of the Products. 6.4 Subject to compliance by the Agent with its obligations under this Agreement, the Principal shall indemnify the Agent against any liability (including, without prejudice to the generality of the foregoing, all costs and expenses which the Agent may reasonably incur in defending any proceedings) which it may incur by reason only of its being held out as the Principal’s agent.

Rights and duties of the Principal. 7.1 The Principal shall be entitled: 7.1.1 for any reason to reject any order for the Services; and 7.1.2 from time to time to extend the range of Services, or discontinue any of the same, upon giving not less than one (1) month's notice in writing to the Agent. 7.2 The Principal shall: 7.2.1 at its own expense promptly supply the Agent with such advertising and promotional materials, literature and information as the Agent may from time to time reasonably require for the purpose of complying with its obligations under this Agreement; 7.2.2 supply up to date copies of any standard price lists which it has for the provision of the Services in the Territory; 7.2.3 honour any contracts for the provision of the Services to customers in the Territory introduced to the Principal by the Agent; 7.2.4 promptly and efficiently deal with any after service enquiry relating to the Services raised by a customer in the Territory; 7.2.5 comply with all the applicable laws and regulations relating to the provision of the Services.

Rights and duties of the Principal. 43.1 The Principal will act in good faith towards the Selling Agent. 43.2 The Principal will provide the Selling Agent with any information the Selling Agent requires to perform its obligations. At the Selling Agent's request, this will include information needed to verify the identification particulars of the Principal and particulars about the Trade-in Vehicle. 43.3 The Principal shall not change or protest or negotiate further the agreed Purchase Amount of the Trade-in Vehicle. 43.4 The Principal shall not refuse to co-operate with the Selling Agent and the Custodian on any sale transaction of the Trade-in Vehicle procured, negotiated and concluded by the Selling Agent or refuse to execute any documentation requested by the Selling Agent in respect of the sale transaction procured, negotiated and concluded by the Selling Agent. 43.5 The Principal will: (a) immediately after execution of this Agreement and other transaction documents: (i) deliver the original logbook of the Trade-in Vehicle thereof to Momentum; and (ii) shall apply to NTSA XXXX to transfer of the Trade-in Vehicle to the Custodian; (b) execute the Irrevocable Consent to Transfer in blank and deliver it to Momentum; (c) execute the Trade-in Vehicle Custody Services Agreement and deliver it to Momentum to hold on behalf of the Custodian; (d) execute the Motor Vehicle Sale and Transfer Agreement in blank and deliver it to Momentum; (e) promptly deal with any after-sales enquiry from the Buyer and/or Selling Agent; 43.6 The Principal represents that: (a) it has all approvals and consents required for the ownership, operation and maintenance of the Trade- in Vehicle; and (b) the Trade-in Vehicle otherwise complies with all applicable laws and regulations. 43.7 Provided that the Selling Agent performs its obligations hereunder, the Principal will indemnify the Selling Agent against any liability (including costs and expenses in defending proceedings) which the Selling Agent may reasonably incur: (a) by reason only of being held out as the Principal's agent or otherwise in the performance of this Agreement; or (b) through any failure by the Principal to comply with clauses 4.5 and 43.6.
Rights and duties of the Principal. The Principal is the data controller as defined in GDPR Article 4 (7) in respect of the data processed by the Contractor at its request. Under clause 4 (3), the Contractor is entitled to inform the Principal if it believes that a contract and/or instruction given by the Principal leads to illegitimate data processing.
