Rights and Obligations of Membership. Except as otherwise provided in these Bylaws or other applicable authority, Members of WECC have the following general rights and obligations: 4.6.1 The right to elect and remove Directors as described in Section 6.5; 4.6.2 The right to amend these Bylaws, and to review and rescind any Board amendment of these Bylaws, in accordance with Section 12; 4.6.3 The right to receive appropriate meeting notices, as well as reports and information produced by WECC; 4.6.4 The right to attend, participate and vote in all WECC Member meetings and the right to attend Board meetings (other than closed sessions of Board meetings) and to comment upon all matters considered in such meetings; 4.6.5 The right to be a member of, attend meetings of, and to introduce motions, debate and to vote in the deliberations of WECC committees, subject to the limitations of these Bylaws and such other reasonable limitations as the Board may adopt from time to time; 4.6.6 The right to invoke the dispute resolution provisions of these Bylaws; 4.6.7 The right to petition the Board to take any action consistent with applicable law (including Section 215 of the Federal Power Act and implementing orders and regulations), these Bylaws and the articles of incorporation and to have such petition voted upon in a reasonable and timely manner; 4.6.8 The obligation to abide by these Bylaws, decisions resulting from the dispute resolution process, and all standards or decisions of WECC, subject to the exceptions set forth in Section 4.7 and the enforcement provisions of Section 4.8. 4.6.9 The obligation to notify the Chief Executive Officer promptly of changes with respect to Affiliates as provided in Section 4.5.1 of these Bylaws; and 4.6.10 The obligation to pay in a timely manner the membership dues pursuant to Section 11. 4.6.11 The obligation to provide system data that the Board has determined is necessary for WECC functions and does not impose an undue burden on the Members; provided, however, that the Board shall adopt appropriate limitations on this obligation or procedures that protect and avoid unnecessary collection of confidential, privileged, trade secret, cybersecurity or critical energy infrastructure information or other information that the Board determines merits such protection consistent with applicable law. 4.6.12 The obligation to support surfacing minority and majority opinions or views within their Member Class, along with supporting rationale to enable the Board of Directors to make decisions based on informed judgment aligned with WECC’s vision, mission and these Bylaws.

4.6.9 4.6.10 For Members owning or operating Transmission Facilities, or possessing trans- mission capacity rights by contract, the obligation to provide non-discriminatory transmission access to other Members through a regional transmission organization, the submittal of an Open Access Tariff with the FERC or in accordance with Section 10 of these Bylaws;
4.6.11 The obligation to notify the Chief Executive Officer promptly of changes with respect to Affiliates as provided in Section 4.5.1 of these Bylaws; and
4.6.10 4.6.12 The obligation to pay in a timely manner the membership dues pursuant to Section 1112.

4.6.4 The right to attend, participate and vote in all WECC Member meetings and the right to attend Board meetings (other than closed sessions of Board meetings) and to comment upon all matters considered in such meetings;
4.6.5 The right to be a member of, attend meetings of, and to introduce motions, debate and to vote in the deliberations of WECC committees, subject to the limitations of these Bylaws and such other reasonable limitations as the Board may adopt amended from time to time. These metadata holdings shall be entered into the Ontario Land Information directory or an equivalent, standardized spatial metadata directory that allows for the discovery of data holdings over the Internet
b) Members agree to make reasonable efforts within the context of Members’ financial, legal and policy constraints, to comply with by-laws made by the Governing Board;
4.6.6 The right c) Members shall have complete access to invoke the dispute resolution provisions of these Bylaws;

d) For the purpose of protecting the Exchange and its membership from unforeseen expenditures, the enforcement provisions of Section 4.8Governing Board, at its sole discretion, may impose a special usage charge, upon written notification to the Member, when a single party chooses to implement systems that imposes extraordinary workload on the Warehouse.
4.6.9 The obligation e) Where a Member updates and/or makes corrections to notify data provided under this agreement, the Chief Executive Officer promptly Member must provide the updates and/or corrections to the provider of changes with respect to Affiliates as provided in Section 4.5.1 the Data within 2 months of these Bylaws; and
4.6.10 The obligation to pay in a timely manner making the membership dues pursuant to Section 11update or correction.
4.6.11 The obligation f) Members receiving updates and/or corrections to data from another Member shall make every effort to review, conduct a quality assurance process and incorporate those changes within six months, if warranted, and upon approval of the data custodian, into the data and publish those updates to the LIO warehouse and/or provide system data timely notification to the Members.
2.2 A Member may upon prior written notice, request that the Board has determined is necessary for WECC functions Exchange market the Member’s Data to non-members of the Exchange, at the Member’s sole cost and does not impose an undue burden on the Members; provided, however, that the Board shall adopt appropriate limitations on this obligation or procedures that protect and avoid unnecessary collection of confidential, privileged, trade secret, cybersecurity or critical energy infrastructure information or other information that the Board determines merits such protection consistent with applicable lawexpense.
4.6.12 2.3 The obligation membership, through the Governing Board, may collectively agree to support surfacing minority and majority opinions acquire Data from a commercial source or views some other non-Member for distribution within their Member Class, along with supporting rationale to enable the membership.
2.4 The Governing Board may terminate a membership where termination is in the opinion of Directors to make decisions based on informed judgment aligned with WECC’s vision, mission and these Bylawsthe Governing Board in the best interest of the Ontario Geospatial Data- Sharing Exchange.
