Common use of Rights of Authorized Affiliates Clause in Contracts

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodes, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesFlipnode, it shall shall, to the extent required under applicable Data Protection Laws and Regulations Regulations, be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 i. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Flipnode directly by itself, the parties agree that (ia) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (iib) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, 13.3.ii below). 10.3.2 ii. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of on the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Flipnode and its non-Affiliate Sub-Processors processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesClickDimensions, it shall shall, to the extent required under applicable Data Protection Laws and Regulations Regulations, be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes ClickDimensions directly by itself, the parties agree that that: (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes ClickDimensions and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesZadara, it shall shall, to the extent required under applicable Data Protection Laws and Regulations Regulations, be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Zadara directly by itself, the parties agree that that: (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Zadara and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Where an Authorized Affiliate becomes a party to the DPA with AudioCodesCohesity, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Cohesity directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Cohesity and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesMIRAGE, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 11.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes MIRAGE directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that who is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.211.3.2, below). 10.3.2 11.3.2 The parties agree that the Customer that who is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes MIRAGE and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesEnverus, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Enverus directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit On- Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Enverus and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesSmartSimple, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 : • Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes SmartSimple directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 . • The parties Parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SmartSimple and its Sub-Processors processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesBasecamp, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Basecamp directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Basecamp and its Sub-Processors processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesConnect-i, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Connect-i directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit On- Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Connect-i and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesQubole, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Qubole directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Qubole and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesFF, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes FF directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2Clause 9.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes FF and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesInstatus, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Instatus directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Instatus and its Sub-Processors processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesthis DPA, it shall to the extent required under applicable Applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 i. Except where applicable Applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes AAI directly by itself, the parties agree that (i1) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii2) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2ii, below). 10.3.2 ii. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Dataunder Section 8 above, take all reasonable measures to limit any impact on AudioCodes and its Sub-Processors by combiningAAI including, to the extent reasonable reasonably possible, combining several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesConnectWise, it shall to the extent required under applicable Applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Applicable Data Protection Laws and Regulations require the Authorized Affiliate to directly (by itself) exercise a right or seek any remedy under this DPA against AudioCodes directly by itselfConnectWise, the parties Parties agree that (i) solely the Customer Client that is the contracting party to the Agreement shall solely exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer Client that is the contracting party to the Agreement shall solely exercise any such rights under this DPA DPA. The Client shall not exercise any remedy separately for each individual Authorized Affiliate individually individual, but in a combined manner for itself and all of its Authorized Affiliates together (as set forthforth in Section 9.3.2 of this DPA below, for example, in Section 10.3.2, below). 10.3.2 9.3.2 The parties Parties agree that the Customer that is Client as the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, shall take all reasonable measures to limit any impact on AudioCodes ConnectWise and its Sub-Processors when carrying out an On-Site Audit, by combining, to the extent reasonable reasonably possible, several audit all requests carried out for an On-Site Audit sought on behalf of different itself and all of its Authorized Affiliates in one single auditAffiliates, as well as the subsequent commencement of such On-Site Audit into a singular combined event.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesLotame under Section 2.2, it shall the Authorized Affiliate is, to the extent required under applicable Data Protection Laws and Regulations be Regulations, entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 (a) Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Lotame directly by itself, the parties agree that (i) solely the Customer Company that is the contracting party to the Agreement shall may exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer Company that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below)together. 10.3.2 The parties agree that the Customer (b) Company that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal DataData under this DPA, take all reasonable measures to limit any impact on AudioCodes Lotame and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesSFDC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes SFDC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SFDC and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Area 1 Security directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 8.3.2. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Area 1 Security and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesConnectWise, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes ConnectWise directly by itself, the parties agree that (i) solely the Customer Client that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer Client that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer Client that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes ConnectWise and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesRippling, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 (a) Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Rippling directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below)together. 10.3.2 (b) The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Rippling and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesMRBD, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 8.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes MRBD directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.28.3.2, below). 10.3.2 8.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes MRBD and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesFF, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes FF directly by itself, the parties agree that that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2Clause 9.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes FF and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesTalkdesk, it shall to the extent required under applicable Applicable Data Protection Laws and Regulations Law be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 13.3.1. Except where applicable Applicable Data Protection Laws and Regulations Law require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Talkdesk directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.213.3.2, below). 10.3.2 13.3.2. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site onsite audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Talkdesk and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesXxxxxxx, it shall shall, to the extent required under applicable Data Protection Laws and Regulations Regulations, be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 i. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Glarish directly by itself, the parties agree that (ia) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (iib) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, 13.3.ii below). 10.3.2 ii. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of on the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Glarish and its Subnon-Processors Affiliate Sub- processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesITG, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 i. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes ITG directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, 9(c)(ii) below). 10.3.2 ii. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes ITG and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesXxxxxx, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 10.3.1. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Kandji directly by itself, the parties agree that (i) solely the Customer that is You as the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is You as the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 10.3.2. The parties agree that the Customer that is You as the contracting party to the Agreement shall, when carrying out an onOn-site audit Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Kandji and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesCaseFox, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes CaseFox directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site onsite audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes CaseFox and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesRoambee, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Roambee directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Roambee and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesProvider, it shall will to the extent required under applicable Applicable Data Protection Laws and Regulations Law be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 (a) Except where applicable Applicable Data Protection Laws and Regulations Law require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Provider directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall will exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall will exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, subsection (b) below). 10.3.2 (b) The parties agree that the Customer that is the contracting party to the Agreement shallwill, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Provider and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesSFDC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes SFDC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SFDC and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the Int. DPA with AudioCodesClassDojo, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this Int. DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this Int. DPA against AudioCodes ClassDojo directly by itself, the parties agree that (i) solely the Customer LEA that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer LEA that is the contracting party to the Agreement shall exercise any such rights under this Int. DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer LEA that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes ClassDojo and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesOpenExchange, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under remediesunder this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes OpenExchange directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an onOn-site audit Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes OpenExchange and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesPCS, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes PCS directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit On- Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes PCS and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesEagleStatus, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes EagleStatus directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes EagleStatus and its Sub-Processors processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesXxxxxx, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 10.3.1. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Kandji directly by itself, the parties agree that (i) solely the Customer that is You as the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is You as the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below)together. 10.3.2 10.3.2. The parties agree that the Customer that is You as the contracting party to the Agreement shall, when carrying out an onOn-site audit Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Kandji and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the Int. DPA with AudioCodesSumo Apps, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this Int. DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this Int. DPA against AudioCodes Sumo Apps directly by itself, the parties agree that (i) solely the Customer LEA that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer LEA that is the contracting party to the Agreement shall exercise any such rights under this Int. DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer LEA that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Sumo Apps and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the Pilot DPA with AudioCodesSFDC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this Pilot DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this Pilot DPA against AudioCodes SFDC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Pilot Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Pilot Agreement shall exercise any such rights under this Pilot DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Pilot Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SFDC and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesClick, it shall shall, to the extent required under applicable Data Protection Laws and Regulations Regulations, be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Click directly by itself, the parties agree that that: (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Click and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesCompany, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Company directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site onsite audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Company and its Sub-Sub- Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesKBC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes KBC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit On Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes KBC and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesBE, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes BE directly by itself, the parties agree that (i) solely the Customer Client that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer Client that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2. The parties agree that the Customer Client that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes BE and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesAsure, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Asure directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Asure and its Sub-Processors processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesCasting Crane, LLC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 i. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Casting Crane, LLC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.c.ii, below). 10.3.2 ii. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Casting Crane, LLC and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesXxxxxx, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Loomio directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Loomio and its Sub-Processors processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the this DPA with AudioCodesSFDC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes SFDC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit On- Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SFDC and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesSnappic, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Snappic directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Snappic and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where When an Authorized Affiliate becomes a party to the DPA with AudioCodesServiceMax, it shall to the extent required under applicable Data Protection Applicable Privacy Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 10.3.1. Except where applicable Data Protection when Applicable Privacy Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes ServiceMax directly by itself, the parties agree that that: (ia) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, ; and (iib) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 10.3.2. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes ServiceMax and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit. If there are multiple audits, each audit will be subject to the audit terms stated in this DPA.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesSFDC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes SFDC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SFDC and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesessensys, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes essensys directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes essensys and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesDevolutions, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 7.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Devolutions directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement Terms of Service shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement Terms of Service shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.27.3.2, below). 10.3.2 7.3.2 The parties Parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site onsite audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Devolutions and its Subsub-Processors processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesCompany, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Company directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Company and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesSFDC, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes SFDC directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SFDC and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.. 10. LIMITATION OF LIABILITY

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesFieldAware, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes FieldAware directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site onsite audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes FieldAware and its Sub-Sub- Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a become party to the this DPA with AudioCodesBrightidea, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 10.3.1. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Brightidea directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA DPA, not separately for each Authorized Affiliate individually individually, but in a combined manner for itself and all of its Authorized Affiliates together (as set forthfor, for example, in Section section 10.3.2, below). 10.3.2 10.3.2. The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an onOn-site audit Site Audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Brightidea and its Sub-Processors processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesSafePaaS, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 9.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes SafePaaS directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 9.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site onsite audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes SafePaaS and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes enters into a party to the DPA with AudioCodesInkit, it shall will, to the extent required under applicable Data Protection Laws and Regulations Regulations, be entitled to exercise the rights and seek the remedies under this DPA, subject to the following: 10.3.1 7.3.1. Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any a remedy under this DPA against AudioCodes Inkit directly by itself, the parties each Party (and all of its Affiliates) agree that that: (i1) solely the Customer that is the contracting party to the Agreement shall will exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, ; and (ii2) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below)together. 10.3.2 The parties 7.3.2. Each Party (and all of its Affiliates) agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Dataonsite Audit, take all reasonable measures to limit any impact on AudioCodes Inkit and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit Audit requests carried out on behalf of different Authorized Affiliates in one single auditAudit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesIPsoft, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 : Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes IPsoft directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 . The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes IPsoft and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesArea 1 Security, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 : ■ Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes Area 1 Security directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for itself and all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.29.3.2, below). 10.3.2 . ■ The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-on- site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes Area 1 Security and its Sub-Processors by combining, to the extent reasonable reasonably possible, several audit requests carried out on behalf of different itself and all of its Authorized Affiliates in one single audit.

Rights of Authorized Affiliates. Where an Authorized Affiliate becomes a party to the DPA with AudioCodesTOMIA Entity, it shall to the extent required under applicable Data Protection Laws and Regulations be entitled to exercise the rights and seek remedies under this DPA, subject to the following: 10.3.1 Except where applicable Data Protection Laws and Regulations require the Authorized Affiliate to exercise a right or seek any remedy under this DPA against AudioCodes TOMIA Entity directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Authorized Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Authorized Affiliate individually but in a combined manner for all of its Authorized Affiliates together (as set forth, for example, in Section 10.3.2, below). 10.3.2 The parties agree that the Customer that is the contracting party to the Agreement shall, when carrying out an on-site audit of the procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on AudioCodes TOMIA Entity and its Sub-Processors by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Authorized Affiliates in one single audit.
