Rights to Injunctive Relief. The Parties acknowledge that remedies at law may be inadequate to provide full compensation in the event of a material breach relating to either party’s obligations, representations, and warranties hereunder, and the non-breaching party will therefore be entitled to seek injunctive relief in the event of any such material breach.

The parties to this Agreement acknowledge that remedies at law or damages may be inadequate to the other parties to this Agreement to provide full compensation in the event of a material breach relating to the other parties’ obligations, representations, and warranties hereunder, and each party to this Agreement shall therefore be entitled to seek injunctive relief or specific performance in the event of any actual or threatened material breach by a party to this Agreement.

Both parties acknowledge that remedies at law may be inadequate to provide WNYHealtheNet with full remedy in the event of a breach of this Agreement, including without limitation, Practice’s disassembly, reengineering, decompiling, or unauthorized use, copying, conversion, or disclosure of the Software, and that the WNYHealtheNet shall therefore be entitled to seek injunctive relief, provisional remedy or any remedy in equity or at law in the event of any such breach.

In addition to and not in limitation of --------------------------- the other remedies in this Lease provided, Landlord shall be entitled to the restraint by injunction of any violation or attempted or threatened violation of any of the terms, covenants, conditions, provisions or agreements of this Lease to the extent permitted by applicable law.

Recognizing and acknowledging that any use or disclosure of the Vendor Technology, Content, and/or Confidential Information in a manner inconsistent with the provisions of this Agreement may cause Vendor irreparable damage for which other remedies may be inadequate, Vendor may, in addition to all other rights and remedies it may have hereunder or under applicable law, petition for injunctive or other equitable relief from a court of competent jurisdiction as may be necessary and appropriate to prevent any unauthorized use or disclosure of any such information (without bond or requirement for proof of actual or likely damages) and that, in connection therewith, the Customer shall not oppose such injunction on the grounds that an adequate remedy is available at law.
