Common use of Role and Responsibilities Clause in Contracts

Role and Responsibilities. During the Employment Period, the Executive shall serve as Chief Commercial Officer of the Company, and shall perform such employment duties as are usual and customary for such position. The Executive shall report directly to the Chief Executive Officer of the Company. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Company. In the event that the Executive serves in any one or more such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. During the Employment Period, the Executive shall continue to serve as the Chief Commercial Operating Officer of the CompanyCompany and a Partner in the Partnership, and shall perform such employment duties as are usual and customary for such positionpositions. In addition, Executive currently serves as a member of the Board of Directors of the Company (the “Board”). The Executive shall report directly to the Chief Executive Officer (the “CEO”) of the Company. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof, unless otherwise determined by the Board. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer Vice President, Strategic Initiatives & Corporate Affairs and Secretary of the Company. In the event that the Executive serves in any one or more such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, provided that the Executive otherwise remains employed under and performs the services contemplated by this Agreement.

In the event that the Executive serves in any one or more such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. During the Employment Period, the Executive shall serve as Chief Commercial Global Sales and Revenue Officer of the Company, and shall perform such employment duties as are usual and customary for such position. The Executive shall report directly to the Chief Executive Officer of the Company. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position positions as Chief Commercial Global Sales and Revenue Officer of the Company. In the event that the Executive serves in any one or more such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, provided that the Executive otherwise remains employed under and performs the services contemplated by this Agreement.

During the Employment Period, the Executive shall serve as Chief Commercial Executive Officer ("CEO") of the Company, and shall perform such employment duties as are usual and customary for such position. At the Company’s 's request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s 's position as Chief Commercial Officer CEO of the Company. In the event that Executive, during the Executive Employment Period, serves in any one or more of such additional capacities, the Executive’s 's compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s 's service in one or more of such additional capacities is terminated, the Executive’s 's compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

Role and Responsibilities. During the Employment Period, the Executive shall serve as Chief Commercial Operating Officer of the Company, and shall perform such employment duties as are usual and customary for such positionpositions. The Executive shall report directly to the Chief Executive Officer of the Company. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Operating Officer of the Company. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

During the Employment Period, the Executive shall serve as the Executive Vice President, Chief Commercial Financial Officer of the Company, and shall perform such employment duties as are usual and customary for such position. The Executive shall report exclusively and directly to the Chief Executive Officer of the CompanyCompany (the “CEO”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

(“Parent”). In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

During the Employment Period, the Executive shall continue to serve as Chief Commercial Officer of the Company’s President and Chief Financial Officer, and shall perform such employment duties as are usual and customary for such position. The Executive shall report directly to the Company’s Chief Executive Officer of the Company(“CEO”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, ; provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the CompanyPresident. In the event that Executive, during the Executive Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

The Executive shall report directly to the Chief Executive Officer of the Company. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Sales Officer of the Company. In the event that the Executive serves in any one or more such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, provided that the Executive otherwise remains employed under and performs the services contemplated by this Agreement.

During the Employment Period, the Executive shall serve as the Chief Commercial People Officer of the Company, and shall perform such employment duties as are usual and customary for such position. The Executive shall report exclusively and directly to the Chief Executive Officer of the CompanyCompany (the “CEO”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. During the Employment Period, the Executive shall serve as Chief Commercial Officer President, Enterprise of the Company, and shall perform such employment duties as are usual and customary for such positionpositions. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyposition. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

During the Employment Period, the Executive shall serve as Chief Commercial Officer of the CompanyPresident, Aerospace Systems, and shall perform such employment duties as are usual and customary for such position. The Executive shall report exclusively and directly to the Chief Executive Officer of the CompanyCompany (the “CEO”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.. At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination, termination provided that the Executive otherwise remains employed under and performs the services contemplated by terms of this Agreement.

During the Employment Period, the Executive shall serve as Chief Commercial Operating Officer of the CompanyOpCo and as President of TSC, and shall perform such employment duties as are usual and customary for each such position. The Executive shall report directly to the Chief Executive Officer of the CompanyCompany (the “CEO”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position as Chief Commercial Officer of the Companyhereunder. In the event that the Executive Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof.
