Purchaser will purchase the Subordinated Note directly from Company and not from the Financial Advisor, and Purchaser understands that neither the Financial Advisor nor any other broker or dealer has any obligation to make a market in the Subordinated Notes. Purchaser understands that the Financial Advisor has acted solely as a financial advisor to Company and not as placement agent or underwriter in connection with offer and sale of the Subordinated Note.
