Royalty and Payment Obligations. Termination of this Agreement by a Party, for any reason, shall not release GBT from any obligation to pay royalties or make any other payments to Roche that are due and payable or accrued prior to the effective date of termination, and shall not affect any other rights or obligations of either Party that have accrued prior to the effective date of termination.
