Any Whenever possible, each provision of this Agreement that will be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement is prohibited held to be invalid, illegal or unenforceable in any jurisdiction will, as to such respect under any applicable law or rule in any jurisdiction, be ineffective to the extent of such prohibition invalidity, illegality or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction will not invalidate or render unenforceable such provision in affect any other jurisdictionprovision or any other jurisdiction but this Agreement will be reformed, construed and enforced in such jurisdiction as if such invalid, illegal or unenforceable provision had never been contained herein.

Headings used in any jurisdiction will, as to such jurisdiction, be ineffective to the extent this Agreement are for reference purposes only and are not a part of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction will not invalidate or render unenforceable such provision in any other jurisdictionthis Agreement.
